Date, Time, and Mode of the Meeting The 16th Annual General Meeting (“AGM”) of the Members of Manipal Health Enterprises Limited (the “Company") was held on Tuesday, September 29, 2026, at 11:00 A.M. (IST) through Video Conferencing (“VC”) in accordance with the applicable provisions of the Companies Act, 2013 read with the relevant circulars issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”). The deemed venue for the AGM was the Registered Office of the Company at Bengaluru. LLP, Practising Company Secretaries – Scrutinizer for the remote e-voting and electronic voting during the AGM Members Present:  The requisite quorum was present throughout the Meeting MHE-Public Proceedings of the Meeting Mr. Sathish K R welcomed the Members, Directors, Key Managerial Personnel, and Invitees. He informed the members that the AGM was being conducted via VC in accordance with the applicable provisions of the Companies Act, 2013 and the SEBI Listing Regulations and the facility to appoint proxies was not available. He stated that the Notice of the 16th AGM along with the Annual Report for the financial year 2025–26 had been duly dispatched electronically to all eligible members within the prescribed statutory timelines and hence the Notice convening the AGM was taken as read. Members were further informed that the statutory registers along with all accompanying documents referenced in the Notice, were maintained and made accessible for inspection by members during the continuance of the meeting. The Company Secretary also outlined the remote e-voting facility made available to eligible members from 9:00 A.M. (IST) on Saturday, September 26, 2026, to 5:00 P.M. (IST) on Monday, September 28, 2026. The Company Secretary requested Dr. Hebri Sudarshan Ballal to take the Chair and conduct the proceedings. Chairperson’s Address to the Shareholders Dr. Hebri Sudarshan Ballal took the Chair, confirmed the requisite quorum, welcomed the members to the 16th AGM, and called the meeting to order. The Chairman introduced the Board of Directors, Key Managerial Personnels, present at the meeting via VC. He also confirmed presence of the auditors and informed that the Statutory Auditors' Report on the financial statements for the year ended March 31, 2026, contained no qualifications, reservations, adverse remarks, or disclaimers; accordingly, it was taken as read. Addressing the Members of the Company, the Chairman delivered his formal address reflecting on the theme of this year's Annual Report, "A Legacy Built on Trust". He noted that FY 2025–26 represented an important milestone in the Company's corporate journey, following its successful Initial Public Offering (“IPO”) and the listing of its equity shares on the National Stock Exchange of India Limited and BSE Limited. The Chairman detailed the operational and financial highlights for the financial year 2025–26:  Revenue from operations increased by 25.4% to ₹10,336 crores, compared to ₹8,242 crores in the previous financial year.  Operating EBITDA reached ₹2,644 crores, maintaining an EBITDA margin of 25.6%, while profit for the year stood at ₹917 crores.  Volume-led growth witnessed Inpatient volumes increased from 4.39 Lakhs to 5.27 Lakhs, while outpatient volumes increased from 47.17 Lakhs to 54.83 Lakhs.  Operating efficiency was enhanced, with the Average Length of Stay (ALOS) improving to 2.8 days from 2.9 days, even as high-acuity CONGO-R specialties expanded to contribute 64.3% of gross inpatient revenue.  Network capacity increased significantly, marked by the strategic acquisition of Sahyadri Hospitals Private Limited in Maharashtra (adding 10 hospitals and 1,606 licensed beds) and the operationalization of two greenfield facilities at Kanakapura Road and Yelahanka in Bengaluru. MHE-Public  As of March 31, 2026, the Company operated 49 hospitals with over 13,000 licensed beds across 14 States and Union Territories, serving over 76.30 lakh patients across its network during the year. Concluding his address, the Chairman expressed deep gratitude to the healthcare professionals, employees, and patients, reaffirming the Board's dedication to sustainable, responsible value creation.
