Members Present Members-74 Proxy-Nil The Twenty Seventh (27th) Annual General Meeting (‘AGM’) of the Members of Barak Valley Cements Limited (“the Company”) was held on Tuesday, the 29th September, 2026 at 03.00 P.M. (IST) through Video Conferencing/ Other Audio-Visual Means in conformity with the regulatory provisions and Circulars issued by the Ministry of Corporate Affairs, Government of India and the Securities and Exchange Board of India. Mrs. Preeti Bhatia, Company Secretary, made a welcome address to the Members attending the AGM and briefed about the necessity for holding virtual AGM. General guidelines to be followed during the Meeting and e-voting facility provided during the meeting was also informed to the members. Mr. Kamakhya Chamaria, Vice-Chairman & Managing Director of the Company chaired the Meeting. The requisite quorum being present, Meeting was called to order. The Company Secretary introduced the Directors & Key Managerial Personnel who have joined the Meeting, Statutory Auditors of the Company were also present at the Meeting through video conference from their respective locations. No leave of absence was required to be granted, as all the Directors were present at the meeting. The Registers and Documents, as statutorily required to be made available at the AGM on the website of the Company i,e www.barakcement.com under the ‘Investors’ tab, for the purpose of inspection during the Meeting. The Chairman then delivered his speech to the Shareholders covering the highlights of overall situation prevailing in the country and on the performance and progress of the Company made during the year 2025-26. With the consent of the Members present, the Notice convening the AGM and the Annual Report, including the Board’s Report and the Auditors’ Reports, were taken as read. The Chairman further informed that the Auditor’s report on the Financial statements (i.e both Standalone and Consolidated Financial Statements) for the financial year ended 31st March 2026 did not have any qualifications, observations, comments or other remarks. The observation contained in the Secretarial Audit Report was also duly discussed and appropriately addressed by the management. The Members were informed that the Company had provided remote e-voting facility and facility to vote during the AGM to the members pursuant to section 108 of the Companies Act 2013 read with Rule 20 of the Companies (Management and Administration) Rules 2014, and Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’). The Company had engaged the services of National Securities Depository Limited (NSDL) to provide facility of e-voting to all Members of the Company as on 22nd September, 2026. The remote e-voting was opened on 9:00 A.M. (IST) on Saturday, 26th September, 2026 and closed at 5:00 P.M. (IST) on Monday, 28th September, 2026. Further, the Company provided the facility for e-voting for a period of 15 minutes after conclusion of the AGM to enable members attending the meeting, who had not cast their votes earlier through remote e-voting, to cast their votes. The Chairman thereafter moved the resolutions as stated in the notice of the AGM: ORDINARY BUSINESS: 1. Item No. 1: To consider and adopt (a) the audited standalone financial statement of the Company for the financial year ended March 31, 2026 and the reports of the Board of Directors and Auditors thereon; and (b) the audited consolidated financial statement of the Company for the financial year ended March 31, 2026 and the report of Auditors thereon. 2. Item No. 2: To appoint a director in place of Mr. Nishant Garodia (DIN:00129815), who retires by rotation and being eligible, has offered himself for re-appointment. SPECIAL BUSINESS: 3. Item no. 3: Ratification of the remuneration payable to the Cost Auditor for the Financial Year ending March 31, 2027. 4. Item No. 4: Re-appointment of Mr. Kamakhya Chamaria as the Managing Director of the Company. 5. Item No. 5: To consider and approve the ratification of Material Related Party Transaction with North East Power and Infra Ltd 6. Item No. 6: Approval of Material Related Party Transaction of the Company with North East Power and Infra Ltd It was clarified that since all the Resolution(s) have been already put to vote through Remote e- Voting, there will be no proposing and seconding of the Resolutions and that there would be not voting by show of hands. The Company had appointed Mr. Balwan Jain, Chartered Accountant in Practice (Membership No. 91276), as the Scrutinizer for the purpose of scrutinizing the remote e- voting and e-voting during the Meeting. The Company Secretary informed the members that the consolidated results of e-voting would be intimated to the Stock Exchanges and posted on the website of the Company within Two (2) working days from conclusion of this 27thAnnual General Meeting. The same shall also be displayed on the website of the Company and NSDL, the agency providing e-voting facility and notice board at the Registered Office of the Company. On the invitation, Members who had previously requested to register themselves as speakers were enabled to ask questions and the same was replied by the management to the satisfactory of the members.
