Requirements) Regulations, 2015, as amend d
To the Board of Directors of Bharat Petroleum Corporation Limited
1. W have reviewed the accompanying Statement of Standalon Un.audit d Financial
Results of Bharat Petroleum orporation Limited (the "Corporation") for the quarter
ended June 30, 2026 ("Statement"), being submitted by the Corporation pur uant to the
requirement f R gulations 33 and 52 of the SEBI (Listing Obligations and Disclosur
Requirements) Regulations, 2015, as am nded (the 11Listing R gulations") exc pt th
disclosures regarding PhysicaJ Performanc disclosed in Para B of the Statement.
2. This Stat ment which is the re ponsibility of th Corporation1s Manag ment, has been
reviewed and approved by th Corporati n's Board of Dir ctor , ha been prepared in
ace rdance with th recognition an measurement principles laid down in the Indian
Accounting Standard 34 "Interim Financial Reporting" (Ind AS 34), prescribed under
Section 133 of the Companies A t, 2013 r d with rel vant rule i su d ther und r and
oth r ac ounti.ng principles generally accept d in India and in complian e with
Regulations 33 and 52 of Listing Regulations. Our responsibility is to express a conclusion
on the Statement ba don our review.
3. W conducted our r view of the Stat ment in a cordance with the Standard on R view
Engagem nt (SRE) 2410, 1Revi w of Int rim Financial Information Performed by th
Independ nt Auditor of the Entity 1 issued by th Institute f Charter d Accow1tants of
India. 1bis Standard requires that w plan and perform th revi w to obtain moderat
assuranc as to whether th Stat ment is fre of material misstatement. A rev:iew of interim
financial information consists of making inquiri s, primarily of person responsible for
financial and accounting matter , and applying analyti al and oth r revi w procedures. A
review is substantially less in scope than an audit ondu ted in accordanc with Standards
on Auditing and consequently does not nabl us to obtain assuranc that we would
become aware of all significant matters that might be identified in an audit. Accordingly,
we do not express an audit opinion.
4. Based on our review conducted as above, nothing has come to our attention that causes
us to believe that the accompanying Statement, prepared in accordance with the
recognition and measurement principles laid down in the aforesaid Indian Accounting
Standards ('Ind AS') specified under Section 133 of the Companies Act, 2013 as amended,
read with relevant rules issued thereunder and other accounting principles generally
accepted in India, has not disclosed the information Iequired to be disclosed in terms of
the Listing Regulations, including the manner in whidi. it is to be disclosed, or that it
contains any material misstatement.
5. Other Matters
a) The Corporation did not comply vvith the requirements relating to optimum
combination of Independent Directors on its Board as prescribed w1der Regulation
17(1)(b) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015 throughout the quarter. Further, owing to non-availability of the requisite
number of Independent Directors, the Corporation was not in compliance with the
requirements relating to Board composition and constitution of mandatory
committees as prescribed under Sections 149(4), 177 and 178 of the Companies Act,
2013 and Regulations 18, 19, 20 and 21 of the SEBI Listing Regulations. Further, the
Corporation did not have a woman director on its Board, as required under Section
149(1) of the Companies Act, 2013 and consequently not in compliance with
Regulation 17(1)(a) of the SEBI Listing Regulations, which also includes optimum
combination of board that requires minimum of one women director.
Our conclusion on the Statement is not modified in respect of the above matter.
