Dear Sir(s)/Madam(s), Pursuant to Regulation 30 and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR Regulations"), wo wish to inform you that the Board of Directors of the Company, at its meeting held today, i.e., September 28,2026,has approved the sale of the entire 3,96,000 equity shares held by the Company in MVK Industries Private Limited, a Group Company, to Gopal Sponge and Power Private Limited, the Promoter and Holding Company of the Company, at a consideration of Rs. 115/- (Rupees One Hundred Fifteen Only) per equity share, being the book value plus 25Yo premium, aggregating to Rs. 4,55,40,000/- (Rupees Four Crore Fifty-Five Lakh Forty Thousand only). The aforesaid investment constitutes a non-core investment of the Company, which was made prior to the listing of the Company and has not been generating any recuming income for the Company. Accordingly, the proposed sale shall enable the Company to utilise the proceeds towards its ongoing expansion. Since the proposed transaction is with Gopal Sponge and Power Private Limited, being the Promoter and Holding Company of the Company, the transaction constitutes a Related Party Transaction under the applicable provisions of the Companies Act, 2013 and the SEBI LODR Regulations.
