Ltd. for BESS Manufacturing Ref: Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements Regulations), 2015 (the ‘SEBI Listing Regulations’) Dear Sir/ Madam, Pursuant to Regulation 30 of the SEBI Listing regulations and with reference to our earlier intimation bearing reference no. Prostarm/Secretarial/2025-26/04 dated April 07, 2026, wherein the Company had informed that it had entered into a Memorandum of Understanding (“MOU”) with Shenzhen Topband Co. Ltd. (“TOPBAND”), in relation to a potential strategic alliance for Exclusive Cooperation under a Battery Energy Storage System (BESS) (“Project”). Upon further evaluation, the Company has determined that the proposed Project is not considered technically and economically feasible. Further, considering the changes in the prevailing business and market environment, along with the consequent strategic realignment and business priorities of the Company, it has been decided to discontinue the proposed Project. Accordingly, the aforesaid MOU shall stand cancelled. There is no material financial or operational impact on the Company arising from the cancellation of the aforesaid MOU. The Company continues to evaluate and pursue business opportunities in line with its strategic objectives and prevailing market conditions. Kindly take the above information on record.
