Dear Sir/Madam, Pursuant to Regulation 30(7) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), and in continuation of our earlier intimation dated 10th August, 2026, regarding the investment in Thriveni Earthmovers and Infra Private Limited (“TEIL”), Subsidiary of the Company, by way of Subscription to Rights Issue / Further Issue of Capital. We wish to inform you that based on Intimation received from TEIL on 28th September, 2026, the Company has been allotted, 3,50,00,000 (Three Crore Fifty Lakhs Only) equity shares of TEIL, at an issue price of Rs. 173.36/- (Rupees One Hundred Seventy-Three and Thirty-Six paise only), for a total consideration of Rs. 6,06,76,00,000 (Rupees Six Hundred and Six Crores and Seventy-Six Lakhs only) after this subscription the total holding of the Company in TEIL will be 73,50,00,000 (Seventy-Three Crore Fifty Lakhs Only) equity shares representing total of 71.89% of the issued and paid-up equity share capital of TEIL. The details required pursuant to Regulation 30 of the Listing Regulations read with Clause A(1)(1.1) of Annexure 18 of the SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November, 2024 (“Disclosure Circular”), has already been provided in the Outcome dated 10th August, 2026.
