Proceedings of the 35th Annual General Meeting
A. Date, time and venue of the Annual General Meeting:
The 35th Annual General Meeting of the Company (Meeting) was held on Monday,
September 28, 2026 through Video Conferencing (VC) / Other Audio-Visual Means
(OAVM). The Meeting commenced at 11:30 a.m. (IST) and concluded at 12:39 p.m. (IST)
(including time allowed for voting at the Meeting).
B. Proceedings in brief:
Shri Satyabrata Dey, Chairman of the Board & Managing Director, chaired the Meeting.
The Chairman informed that the Meeting was held through VC / OAVM in compliance
with the circulars issued by the Ministry of Corporate Affairs, applicable provisions of
the Companies Act, 2013 and the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015.
The requisite quorum being present, the Chairman called the Meeting to order.
The Chairman stated that all the members of the Board and Key Managerial Personnel
of the Company were present at the Meeting and that representatives of the Statutory
Auditors and Secretarial Auditor of the Company were also present at the Meeting.
The Chairman requested Shri Bijoy Kumar Roy, Company Secretary, to provide general
instructions to the members regarding participation in the AGM.
Shri Bijoy Kumar Roy, Company Secretary, provided general instructions to the
members regarding participation in the AGM. He informed the members that the
remote e-voting commenced at 9:00 a.m. (IST) on Friday, September 25, 2026 and
concluded at 5:00 p.m. (IST) on Sunday, September 27, 2026. He further informed that
members who had not cast their votes through remote e-voting and were participating
in the AGM could cast their votes during the AGM through the e-voting system
provided by Central Depository Services (India) Limited (“CDSL”).
The Chairman requested Ms. Rochita Dey, whole time director, to present the Year in
review and highlight the Company’s Financial Performance.
Ms. Rochita Dey addressed the members and highlighted the Financial Performance of
the Year, noting that Gross Revenue stood at Rs. 24,840.43 lakhs, Operating Profit
before tax stood at Rs. 3,820.68 lakhs, and Net Profit achieved was Rs. 2,874.27 lakhs.
The Chairman then moved to the formal agenda items listed in the Notice. During the
consideration of Item No. 2 and Item No. 4 in which the Chairman was interested, Shri
Bhaskar Chatterjee, Independent Director, took the Chair to conduct the proceedings.
C. Resolutions contained in the Notice dated August 14, 2026:
Ordinary Businesses
Item No. 1 (Ordinary Resolution): Consider and Adoption of the audited financial statement
of the Company for the financial year ended March 31, 2026 and the reports of the Board
of Directors and Auditors thereon;
Item No. 2 (Ordinary Resolution): Appointment of Ms. Rochita Dey (DIN: 02947831), a
Director retiring by rotation;
Item No. 3 (Ordinary Resolution): Confirmation of Payment of interim dividend at the rate
of Re. 1/- (Rupee One only) per equity share of Rs. 10/- (Rupees Ten only) each fully paid-
up and declaration of final dividend at the rate of Re. 1/- (Rupee One only) per equity share
of Rs. 10/- (Rupees Ten only) each fully paid-up, for the financial year ended March 31,
2026; and
Special Business
Item No. 4 (Special Resolution): Appointment of Shri Soham Dey (DIN: 11860996), as a
Whole-time Director of the Company.
D. Question and Answer Session:
Following the presentation of the resolutions, the Chairman requested Shri Soham Dey,
Director, to lead the Q&A session. Registered speaker shareholders were invited to ask
questions and present their views on the operations and performance of the Company.
Shri Soham Dey answered all queries raised by the shareholders satisfactorily.
E. Voting by members:
The Company had provided remote e-voting facility to its members to cast votes
electronically on all the resolutions set out in the Notice.
The facility to vote at the meeting through electronic voting system, was also made
available to the members who participated in the meeting and had not cast their votes
through remote e-voting.
F. Results of voting (remote e-voting and voting at the meeting through electronic voting
system)
Details of the Consolidated Results of voting (remote e-voting and e-voting at the Annual
General Meeting) will be intimated to the Stock Exchanges and placed on the website of
the Company and CDSL upon receipt of the final Scrutinizer’s Report. The requisite quorum
was present throughout the Meeting. The meeting concluded with a vote of thanks to the
Chair.
