Mr. Baby John Shaji, Chairman, presided over the meeting. After confirming the presence of the
requisite quorum, he assumed the Chair and formally opened the proceedings.
Mr. Balagopalan Veliyath, Executive Director, extended his warm welcome to the
shareholders, investors, Directors, auditors, scrutinizer and all other participants attending the
38th Annual General Meeting virtually. He expressed gratitude to the shareholders for their
continued trust and support.
He paid tribute to the late Chairman and Managing Director, Sri. Shaji Baby John, whose
absence was deeply felt as this was the first AGM held without him. He was remembered as a
pioneering entrepreneur and visionary leader who played a significant role in the development of
aquaculture and seafood processing, often referred to as the “Last Samurai of Aquaculture”. He
was regarded as a key architect of India’s Blue Revolution, particularly for establishing the
country’s first large-scale, semi-intensive, integrated aquaculture project in 1987. He further
recalled his pioneering vision for the adoption of technology and sustainable practices in
aquaculture, as well as his contribution to the development of Indian seafood exports and his
association with the Marine Products Export Development Authority (MPEDA). A moment of
silence was observed in his honour.
The Chairman began by remembering his late father, Shri Shaji Baby John, Founder Chairman
and Managing Director of Kings Infra, who passed away in December 2025. He recalled his
father’s vision of building sustainable aquaculture and contributing to India’s Blue Revolution,
and reaffirmed the Company’s commitment to carrying forward and building upon that legacy.
He acknowledged the challenges arising from the leadership transition and expressed gratitude
to the Board and employees for maintaining stability and focus. He also reflected on his
experience of working alongside his father for more than a decade and reaffirmed his
commitment to serving the Company with discipline, responsibility and respect for the
foundation laid by his father.
The Chairman highlighted the Company’s strong financial performance during FY 2025–26,
noting growth in revenue, EBITDA, profit after tax and earnings per share. He noted that these
results were achieved during a year of significant transition and international market challenges..
He stated that the Company has chosen to focus its capital and attention on its core strengths of
aquaculture, seafood processing and exports. Domestic retail initiatives have been placed in
abeyance, while larger projects will proceed at a measured pace based on approvals, commercial
viability, prudent capital deployment and long-term value creation for shareholders.
The Chairman also announced that the Company is planning a pilot project for the Kings
Maritech Eco Park and expressed confidence that further details would be announced shortly.
For FY 2026–27, the Company’s priorities are centred on five themes: synergise, consolidate,
digitise, monetise, and optimise.
He emphasised the importance of innovation, technology and a capable team in keeping the
Company competitive and ready for future growth. He also highlighted opportunities in
established European markets and the Company’s intention to remain prepared as India’s trade
arrangements with Europe develop.
The Chairman concluded by expressing gratitude to the Board, employees, customers, suppliers,
associates, bankers, fishermen and farming communities, and shareholders for their continued
support. He reaffirmed that the Company’s objective is not merely to preserve what was built
over four decades, but to create a stronger, more technology-driven and sustainable Kings Infra,
with confidence in the Company’s future.
The Company Secretary subsequently apprised the Members that the Notice convening the 38th
Annual General Meeting along with the Annual Report for the financial year ended 31st
March 2026 had been sent electronically to all Members holding shares as on the cut-off date
(21st September 2026) whose e-mail addresses were registered with the Company or its
Depositories.
She informed the Members that the Company had enabled participation in the 38th Annual
General Meeting by virtual means. Further, she briefed the Members that the Company had
provided the facility for remote e-voting prior to the AGM, allowing them to exercise their
voting rights electronically. Members who attended the meeting but had not cast their votes
were also given the opportunity to vote electronically for a period of 30 minutes after the
conclusion of the meeting, in accordance with the provisions of the Companies Act, 2013, and
the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The Company had appointed Mr. Jomy Saimon of M/s. Jomy Saimon & Associates, Chartered
Accountants, as the Scrutinizer to oversee the e-voting process and to provide the
combined results of remote e-voting and voting at the AGM, along with the Scrutinizer’s

It was also informed that the statutory registers — including the Register of Directors and Key
Managerial Personnel and their Shareholding, the Certificate of Incorporation, the
