ANNEXURE – A CHAIRPERSON’S SPEECH AT THE 42ND ANNUAL GENERAL MEETING Dear Shareholders, Good morning, and a warm welcome to the 42nd Annual General Meeting of Mantra Capital Limited, on behalf of the Board, I thank you for joining us and for your continued confidence in the Company. FY 2025–26 has been an important year in Mantra Capital’s evolution. We continued to grow our lending business while strengthening the foundations required to support that growth — our management team, credit processes, technology, governance and risk systems. Our focus is on two areas where we believe access to appropriate finance can create meaningful economic impact — providing productive credit to underserved individuals, small entrepreneurs and businesses in Tier 2, Tier 3 and smaller towns, and financing the transition to green mobility, particularly in Delhi NCR and major metropolitan markets by enabling drivers and small transport entrepreneurs to move towards cleaner, income-generating electric vehicles. Our philosophy is simple: credit should help a borrower earn more, build an asset, grow a business or improve economic security. For this reason, even while operating in segments where lending rates can be materially higher, we have consciously maintained our lending rates broadly in the average range of 21 % to 22 %. Let me briefly place the year’s performance in perspective. During FY 2025–26, our Assets Under Management increased from Rs.25crore to Rs.110 crore. Over the first 18 months of our operations (having started lending in August 2024 and covering two financial years FY 25, and FY 26 of our, AUM has grown from 0 to 110 cr. During the year, we disbursed close to Rs. 96 crore. Total income stood at Rs. 16.35 crore, compared with Rs. 3.35 crore in the previous year, while net worth as at 31 March, 2026 stood at Rs.27.25 crore. We operated across 4 states and 20 branches and in this year added 2000+ new borrowers. Gross NPA stood at 2.03 %, Net NPA at 1.25 % and collection efficiency at approximately 94.4 %. These numbers matter, but what matters equally is the quality of growth. Our objective is not simply to build a larger balance sheet, but a diversified, well-underwritten portfolio capable of delivering sustainable returns. Our lending activity remains centred around two principal areas. The first is secured lending to small businesses and entrepreneurs. Millions of small businesses generate employment and economic activity but often struggle to access institutional credit. Our Secured Business Loan programme seeks to address this gap through disciplined underwriting and a deeper understanding of the borrower and the business. The second is financing for cleaner mobility. Our electric three-wheeler financing supports drivers and small transport entrepreneurs for whom the vehicle is often the primary source of livelihood. Our experience has also reinforced an important lesson: growth must always be accompanied by strong credit discipline. Considerable management attention has therefore gone into strengthening underwriting, collections, portfolio analytics and risk management, supported increasingly by technology and data. As a listed and regulated financial institution, governance, transparency and regulatory discipline remain central to the way we intend to grow. We are also focused on building a professional organisation that encourages ownership, accountability and performance while retaining an important part of our culture Professionalism with Purpose and Care. Looking ahead, the opportunity remains significant. India’s small-business economy continues to require productive credit, the transition to cleaner mobility will require new forms of financing, and millions of borrowers remain capable of entering the formal financial system if institutions understand their businesses and cash flows more intelligently. Our priorities are therefore clear: to build a high-quality secured lending portfolio, maintain disciplined underwriting and collections, reduce our cost of capital, diversify our funding sources, and continue strengthening our technology and analytics capabilities. The technology, automation and operating infrastructure put in place during the first year of this transformation is intended to give us the platform to scale Mantra Capital into a significantly larger financial services institution without having to build the organisation afresh at every stage of growth. We will also continue to develop partnerships with banks, financial institutions, impact investors and development-finance institutions that share our objective of expanding responsible credit to underserved communities. I would like to thank my fellow Directors for their guidance, our management team and employees for their commitment, and our lenders, bankers, business partners and advisors for their continued support. Most importantly, I thank our shareholders. Building a financial institution requires capital, patience, discipline and trust. We remain conscious of the responsibility that comes with that trust. Our task now is to convert the foundations we have built into a scalable, profitable and enduring financial services institution that creates sustainable value for shareholders while continuing to serve the communities for which it was built. Thank you for your continued support. I now look forward to proceeding with the business of the meeting.
