Sub: Appointment of new Head of Internal Audit and retirement of current Head of Internal Audit - Change in Senior Management Personnel (SMP) Ref: Regulation 30 read with Part A of Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) Dear Sir/Madam, Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), this is to inform the changes in the Senior Management Personnel of Jana Small Finance Bank Limited (“the Bank”). 1. Mr. Ramachandran, currently working as Head of Internal Audit has expressed his intention to retire from the services after seven (7) years of service in the bank and after attaining the age of 67 years. Accordingly, he will relinquish charge as Head of Internal Audit immediately and will subsequently retire from the bank on 2nd December 2026. 2. Mr. Rajeev K, a seasoned banker having about 30 years of total experience, including extensive exposure across audit themes relevant to the Bank's business joins the bank as Head of Internal Audit effective September 28, 2026 and will take over from Mr. Ramachandran. Prior to joining Jana Bank, Mr. Rajeev has worked for Axis Bank, ICICI Bank and State Bank of India. Rajeev has done his Masters of Business Administration from ICFAI University, Masters of Commerce from Annamalai University and Bachelors of Commerce from Calicut University. 3. The Audit & Compliance Committee of the Board (ACB), Nomination & Remuneration Committee (NRC) have approved the appointment on 11th August 2026; and the said agenda has been approved by the Board in its meeting held on 13th August 2026.
