EXHICON EVENTS MEDIA SOLUTIONS LIMITED
Address by the Chairman & Managing Director
Dear Shareholders,
It is my privilege to welcome you to the 16th Annual General Meeting of Exhicon Events Media Solutions Limited
— a year I can describe in one word: transformative. If FY 2025-26 had to be captured in a single statistic, it
would be this: our development pipeline now spans nearly 1,25,000 square metres of venue and exhibition
infrastructure across India — from Pune and Mohali to Greater Noida, Indore, Nashik, Ayodhya and Delhi-NCR.
This single portfolio represents roughly 25% of India’s total operational indoor exhibition capacity. This
is the defining story of our year, and unmistakable proof that the foundations we have been laying for years are
now converting into tangible, revenue-generating, on-ground infrastructure.
A Year of Record Financial Performance
Exhicon delivered its strongest financial year to date. Consolidated total revenue grew 40.25% year-on-year to
₹205.46 crore (FY25: ₹146.50 crore), with revenue from operations rising 41.24% to ₹202.70 crore — a
testament to broad-based strength across our exhibitions, conventions and infrastructure-led businesses.
Profitability outpaced revenue growth. Profit after tax rose 49.54% to ₹45.24 crore, and profit attributable to
shareholders climbed 56.54% to ₹40.70 crore. Our balance sheet strengthened dramatically: consolidated net
worth grew 72.52% to ₹212.25 crore, total assets expanded 85.34% to ₹264.26 crore, cash and bank balances
surged 144.39% to ₹28.57 crore, and EPS grew 37.4%.
This is a rare and powerful combination — high growth paired with margin expansion — and it reflects the
operating leverage now building steadily into our venue and infrastructure businesses.
On the ground, we executed 38+ major exhibitions, safely enabling commerce for over 1.5 million B2B visitors
and 9,000+ exhibitors, while enhancing margins through cross-selling our digital matchmaking capabilities. This
scale of delivery remains the strongest validation of Exhicon’s execution capability — and of the trust our
industry continues to place in us.
Our Competitive Edge: The Venue-as-a-Service Model
At the heart of our infrastructure growth is a single, deliberate philosophy: Venue-as-a-Service (VAS). We
combine venue design and construction with long-term Operations & Maintenance revenue — not simple rental
income — so that every asset we build generates two distinct income streams: an upfront execution/design-
build revenue, and a recurring, annuity-like O&M revenue for the life of the contract.
Our indoor venue development pipeline of ~1,25,000 sqm — nearly one in every four square metres of
organised indoor exhibition space in India — and we are targeting completion of over 60,000 sqm of this
portfolio within FY 2026-27 alone.
From Asset-Light to Asset-Backed: Our Growing Venue Portfolio
This year marks a decisive shift — from a largely asset-light events business to one anchored by owned, operated
and developer-funded venue infrastructure:
• Messe Global Convention Centre, Pune — our 7.5-acre joint-venture flagship, now fully operational and
already award-winning, cementing Pune’s place on the national MICE map.
• Messe Global Arena, Kharadi, Pune — Pune’s first purpose-built concert and live-entertainment venue,
a 2-acre asset with a 5,000-capacity indoor arena and 6,000-capacity outdoor space.
• India Expo Centre & Mart, Greater Noida — a 24,000 sqm expansion mandate, with Phase 1 (~12,000
sqm) complete and a further 12,000 sqm under construction.
• Mohali Convention & Exhibition Centre, Punjab — our most significant public-infrastructure win to
date: a 21-acre Public-Private Partnership (PPP/BOT) project with the Government of Punjab (Phase 1: ~14
acres, ~₹75 crore investment), awarded to Exhicon on winning the tender, which we are executing through
a joint venture with India Exposition Mart Limited (IEML) formed post the tender win, in a 65:35
(Exhicon:IEML) shareholding, targeted for completion by late 2027, positioning Exhicon as a leading PPP
operator of MICE infrastructure for North India.
• Ayodhya — a 5-acre parcel acquired for a multipurpose convention venue, capturing the fast-growing
religious-tourism and pilgrimage-circuit MICE opportunity.
Beyond these anchor projects, FY27 will bring a differentiated, capital-efficient pipeline:
• MMLP Indore — our fifth multipurpose venue deal in two years and second full design-build-operate
project: a ~4-acre Exhibition & Convention Centre within the 255-acre Multimodal Logistics Park at
Pithampur, entirely developer-funded — a zero-capital-deployment model delivering both upfront and
annuity revenue without stretching our balance sheet.
• Nashik International Exhibition & Convention Centre (NIECC) — a PPP formalised via MoU with the
Nashik Industries & Manufacturers Association, with Exhicon leading design and technical execution.
• Bharat Mobility Global Expo 2027, Yashobhumi, New Delhi — one of our most prestigious mandates
yet: appointed by the ACMA Mobility Foundation as design, engineering and execution partner for 30,000
sqm of next-generation exhibition infrastructure, to be delivered by January 2027 for an expo expected to
draw over 1,500 exhibitors and nearly a million visitors. The ₹50 crore asset remains with Exhicon, with
ACMA paying O&M across three consecutive editions.
Together, these developments pipelines — spanning Pune, Mohali, Greater Noida, Indore, Nashik, Ayodhya and
Delhi-NCR — give Exhicon over 25% share of India’s organised indoor exhibition capacity, the single most
defining achievement of our transformation this year.
Extending Into Lifestyle & Recreational Infrastructure
We have carried this venue-operating philosophy beyond exhibitions. Through Pinewoods Golf Club, we now
operate two of Pune’s four golf courses — Blue Ridge Golf Course, Hinjewadi, spanning a 67-acre Golf
Course management — proof of our ability to professionalise and operate premium lifestyle assets well beyond
exhibitions.
Strengthening Our Media Voice: TradeFairTimes
TradeFairTimes, India’s pioneering monthly tabloid and digital publication for the exhibition industry —
widely regarded as its trusted mouthpiece — continues to deepen our relationships across organisers, exhibitors,
venue owners and associations. It gives us an early, on-the-ground line of sight into emerging trends and venue
opportunities, reinforcing the integrated, full-stack model tha
