SUMMARY OF THE PROCEEDINGS OF 26TH ANNUAL GENERAL MEETING (AGM)
OF OLECTRA GREENTECH LIMITED CONVENED ON SATURDAY, 26TH DAY OF
SEPTEMBER, 2026 AT 12:00 NOON. THROUGH VIDEO CONFERENCING (VC)/
OTHER AUDIO-VISUAL MEANS (OAVM).

► The meeting commenced at 12:00 noon and concluded at 1:45 p.m., including 15
minutes allotted for venue voting.
► The requisite quorum was present throughout the Meeting. A total of 106
members, including the speakers, participated in the video conference.
► With the consent of the Shareholders, Sri P. V. Krishna Reddy, Chairman of the
Company, took the Chair and presided over the Meeting.
► The Chairman informed the members that the 26th Annual General Meeting of
the Company was being conducted through Video Conferencing ("VC")/Other
Audio-Visual Means ("OA VM") in accordance with the circulars issued by the
Ministry of Corporate Affairs. He further informed the members that the

► The Chairman of the Meeti.ng c!elivered his speech, highlighting the Company's
performan,:;e and the overall industry scenario.
► Notice of the 26th Annual General Meeting since already been circulated to the
members, was taken as read with permission of the members.
► Auditors' Report was also taken as read.
► The Secretarial Auditors were also present at the Annual General Meeting.
► The Chairman invited the shareholders to share their views and raise questions
regarding the financial statements for the year ended March 31, 2026, as well as
the operations of the Company. The shareholders raised questions on various
matters, including:
- Company's overall long-term vision and strategic roadmap for the next five
years
- Progress on project deliveries, including updates on the status of ongoing
projects
- Overall Sales margins and declaration of monthly sales numbers
- Construction status of the new Greenfield EV manufacturing facility,
including updates on the progress and project timelines
- Clarification of Share splitting
- Automation and Artificial intelligence integration in the products
- Company's future growth plans and strategies
- Indigenous product development, leveraging BYD's strengths, and mitigating
associated risks.
- Implemented cost reduction initiatives
- Expansion into battery manufacturing, passenger vehicles, and other EVs
- Clarifications on Related Party Transactions
- Opportunity for shareholders to visit the Seetharampur manufacturing
facility
- Conducting the Annual General Meeting of the Company in physical mode in
the coming years
- Other pertinent matters
which were addressed by the Chairman, Managing Director and Company
Secretary of the Company appropriately.
► The Company Secretary "i;.1.formed the members that pursuant to the .provisions
of Section 108 of the Companies Act, 2013 read with Companies (Management
and Administraticn) Rules, 2014, as amended, and Regulation 44 of the SEBI
(LODR) Regulation, 2015, the Company has arranged for e-voting facility to its
members in respect of all the businesses to be transacted at the AGM of the
Company. The e-voting commenced on 22nd September, 2026 (9:00 A.M) and
ended on 25th September, 2026 (05:00 P.M).
► The Company Secretary informed the members, who have not cast their votes
through e-voting facility, to cast their votes in respect of all the resolutions
proposed in the notice during the AGM.
► The Company Secretary informed that Mr. Prathap Satla, Practicing Company
Secretary, was appointed to scrutinize the remote e-voting and e-voting during
AGM in a fair and transparent manner.
► The agenda items of the Notice of 26th AGM were read for the information of the
members as below:
Ordinary Business:
1. To receive, consider and adopt the Annual Audited Financial Statements
including Consolidated Financial Statements of the Company for the year ended
31st March, 2026 and Reports of the Board of Directors and Auditors thereon -
Ordinary Resolution.
2. To declare final dividend at the rate of 15% (i.e. Rs. 0.60/- only) per equity share
of Rs. 4 /- (Rupees Four only) each fully paid-up of the Company for the 'Financial
Year ended 31st March, 2026 - Ordinary Resolution.
3. To appoint a Director in place of Mr. P V Krishna Reddy (DIN: 01815061), who
retires by rotation being eligible, offers himself for re-appointment to the office of
Director - Ordinary Resolution.
Special Business:
4. Ratification of remuneration payable to M/ s. EVS & Associates, Cost Auditors -
Ordinary Resolution.
5. Approval for entering into contracts with Evey Trans (NSK) Private Limited and
Evey Trans (KAR) Private Limited - Ordinary Resolution
6. Approval for Receiving Guarantees and/ or Unsecured Loans from Megha
Engineering & Infrastructures Limited (MEIL) and/ or MEIL Holdings Limited
(MHL) - Ordinary Resolution.
7. Apprn·1al for issuance 0: Cc,rpora.te Undertaking in favour of Lenders against
