Further, in compliance with Circular No. LIST/COMP/14/2018-19 and NSE/CML/2018/02 dated 20th June 2018, issued by the BSE and NSE, respectively, and as per confirmation received from Dr. Som Nath Sachdeva, we hereby confirm that Dr. Som Nath Sachdeva is not debarred from holding the office of Director by virtue of any Order passed by the Securities and Exchange Board of India or any other authority. He is not holding any shares of NTPC Limited. Date of appointment/ reappointment/ Date of Appointment: 18th July 2026 cessation (as applicable) & term of appointment/reappointment In line with the Ministry of Power’s Order No. 88/4/2020-Th.- 1(Part-III)(276348) dated 17th July 2026, the Board of Directors has approved the appointment of Dr. Som Nath Sachdeva (DIN: 11837324) as an Additional Director (Independent Director) on the Board of the Company for a period of three years w.e.f. the date of notification of his appointment, or until further orders, whichever is earlier. 3. Brief profile (in case of appointment) Prof. (Dr.) Som Nath Sachdeva is the Vice Chancellor of Kurukshetra University, Kurukshetra, a NAAC A++ accredited State University. He has also served as Vice Chancellor (additional charge) of three other Government Universities in Haryana. He holds a Ph.D. in Civil Engineering with specialization in Transportation Engineering and has over 39 years of distinguished experience in academics, research and consultancy. He also served as Professor at the National Institute of Technology (NIT), Kurukshetra. He has published over 100 research papers, authored three books, supervised various postgraduate and doctoral research scholars, and has undertaken several sponsored research and consultancy projects. Prof. Sachdeva has received several national honours, including the Outstanding Vice Chancellor of India (2025) and the Platinum Award from the Government of Haryana for excellence in implementing NEP 2020. 4. Disclosure of relationships between Dr. Som Nath Sachdeva is not related to any other Director directors of the Company.
