The shareholders of the Company had earlier approved a total of 10,65,000 (Ten Lakh Sixty-Five Thousand) Employee Stock Options under ESOP 2024. Out of the said approved options, 77,256 (Seventy-Seven Thousand Two Hundred and Fifty-Six) Options were granted in December 2024, out of which 19,314 (Nineteen Thousand Three Hundred and Fourteen) Options subsequently got lapsed. Accordingly, after taking into account the options granted earlier and the options that have lapsed, the total number of options available for grant under ESOP 2024 stands at 10,07,058 (Ten Lakh Seven Thousand and Fifty-Eight) Options. Out of the aforesaid options available for grant, the Nomination and Remuneration Committee has approved the grant of 2,86,325 (Two Lakh Eighty-Six Thousand Three Hundred and Twenty-Five) Employee Stock Options to the eligible employees under ESOP 2024, in accordance with the terms and conditions of the Scheme. The ESOPs grants are governed by the Solarworld Employee Stock Option Plan 2024 (“ESOP 2024”/ “Scheme”) which was submitted with the BSE Limited and National Stock Exchange of India Limited at the time of obtaining In Principle Approval. The Company has received In-Principle approval on May 26, 2026 from both the stock exchanges i.e. BSE Limited and National Stock Exchange of India Limited. The Company believes that equity-based compensation aligns employees’ interests with the Company’s long-term growth, value creation and the interests of its shareholders, while rewarding their association, dedication and contribution. The ESOP 2024 is intended to attract, motivate and retain key talent by fostering a sense of ownership and encouraging employees to contribute towards the Company’s growth, profitability and expansion initiatives. The Scheme serves as a long-term incentive mechanism, enabling employees to participate in the Company’s future value creation while strengthening their commitment to its sustained growth and success. The grant will be administered by the Nomination and Remuneration Committee. b) Whether the scheme is in terms of SEBI Yes (SBEB) Regulations, 2021 (if applicable); c) Total number of shares covered by A total of 2,86,325 (Two Lakh Eighty-Six Thousand Three these options; Hundred and Twenty-Five) stock options, each convertible into one equity share of face value of Rs. 5/- (Rupees Five Only) each of Solarworld Energy Solutions Limited, are granted under the Scheme. Upon vesting and exercise of the options, the same shall be converted into an equivalent number of equity shares of the Company. d) Pricing formula; Pursuant to the applicable provisions of the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, the provisions of “ESOP 2024/ Scheme” and the applicable accounting standards, the Nomination and Remuneration Committee as per its discussion in their meeting, has decided each Option to be exercised at fixed price of Rs. 5/- (Rupees Five Only) per equity share.
