Dear Madam/Sir, Pursuant to Regulation 30 of the SEBI (LODR) Regulations, 2015, as amended from time to time, read with Clause 118 of Article of Association of the Company, we hereby inform you that the Promoters/ Promoter Group of the Company have voluntarily waived/foregone their entitlement to receive the final dividend proposed by the Company for the financial year ended 31st March, 2026, in respect of the equity shares held by them. The Board of Directors of the Company had recommended a final dividend of ₹0.10 per equity share of face value ₹1 each for the financial year ended 31st March, 2026, subject to the approval of the shareholders of the Company at the ensuing Annual General Meeting. In this regard, the Company has received written and unconditional waiver/forgoing declarations from the Promoters and Promoter Group shareholders in respect of the final dividend payable on the equity shares held by them The Company has 94,00,00,000 equity shares outstanding, of which 47,53,47,599 equity shares are held by the Promoters and Promoter Group. The waiver/forgoing of dividend by the Promoters and Promoter Group is voluntary and unconditional and does not involve any consideration or benefit payable by the Company to the concerned shareholders in lieu thereof.
