Sub: Proceedings of the 53rd Annual General Meeting of the company held on 25th September,2026
The 53rd Annual General Meeting (AGM) of our Company was held on 25th September, 2026 at
5.00 PM through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The meeting was held
through the WebEx Platform facilitated by Central Depository Services (India) Limited. The meeting was
held in due compliance with the stipulations of the relevant Circulars of the MCA and SEBI.
The Meeting was chaired by Mr. Ashwin C Muthiah, Director, other Directors, Chief Financial officer,
Company Secretary of the company attended the meeting, besides the Statutory Auditors and the
Secretarial Auditor.
The AGM commenced at the scheduled time of 5.00 PM and the quorum was present throughout the
meeting.
The Chairman welcomed the Members and delivered a detailed address highlighting the key developments
and significant achievements of the Company during the financial year 2025–26. The address covered the
global business environment, India’s economic outlook and its impact on the Company’s products, the
market environment in which the Company operated and its strategic response thereto, operational
performance, strategic projects and capacity expansion initiatives, energy transition efforts, awards and
recognitions, human resource, community development and voluntary CSR activities undertaken during
the year. The Chairman also outlined the Company’s future outlook and the strategic pathways being
pursued to drive sustainable progress and long-term growth.
The Chairman thereafter proceeded to transact the businesses set out in the Agenda of the meeting. The
Members were informed about the e-voting facility made available prior to the meeting to vote on the
resolutions and the facility available for those who have not availed the remote e-voting to cast their votes
during the meeting, through electronic means.
It was noted that there were no adverse observations or remarks in the Reports of the Statutory Auditors.
The following items were transacted as Ordinary and Special Resolutions at the AGM:
I. Ordinary Resolutions:
1. To receive, consider and adopt the Audited Financial Statements of the Company and other
Reports for the Financial Year ended 31st March, 2026.
2. To re-appoint Mr. K R Anandan (DIN: 00314502) who retires by rotation and being eligible
offers himself for re-appointment as a Director.
3. T o appoint B Y & Associates, as Cost Auditor of the company for the Financial Year 2026-2027
and fix remuneration.
4. To approve Material Related Party Transactions with Greenstar Fertilizers Limited which are to
be engaged by the company for a period commencing from 53rd AGM upto 54th AGM.
5. T o approve Material Related Party Transactions with Southern Petrochemical Industries
Corporation Limited which are to be engaged by the company for a period commencing 53rd AGM
upto 54th AGM.
II. Special Resolutions:
6. To approve the increase in the remuneration payable to Mr. E Rajeshkumar (DIN: 10207780),
Whole-Time Director of the Company.
7. To approve the Special Incentive payable for the Financial Year 2025-26 to Mr. E Rajeshkumar
(DIN: 10207780), Whole-Time Director of the Company.
The Chairman also informed that the resolutions shall be deemed to have been passed as of date of the
Meeting i.e., 25th September 2026.
The were no speakers in the meeting as none of the shareholders got registered on the portal/facility
provided through our RTA for the same.
The meeting was declared as closed around 05.23 PM and the facility to vote was made available for a
further fifteen minutes.
M/s. KRA & Associates, Practicing Company Secretaries, have been appointed as the Scrutinizers for both
remote e-voting and e-voting during the meeting. Their report is awaited and the results will be announced
to the Stock Exchanges, uploaded on the Website of the Company and CDSL on receipt of the report.
