Corporate Affairs and SEBI, we enclose herewith summary of Proceedings of 34th Annual General Meeting
of the Members of the Company held on Friday, September 25, 2026 at 03:30 p.m. through Video
Conferencing (VC) / Other Audio‐visual Means (OAVM).
The voting results of 34th Annual General Meeting will be declared and disseminated on the Stock
exchanges on or before Tuesday, September 29, 2026 and will also be uploaded on the websites of the
Company and NSDL who has provided the Voting facility.

SUMMARY OF PROCEEDING OF THE 34THANNUAL GENERAL MEETING OF THE MEMBERS OF DIAMOND
POWER INFRASTRUCTURE LIMITED ('THE COMPANY') HELD THROUGH VIDEO CONFERENCING (VC)/
OTHER AUDIO-VISUAL MEANS (OAVM) ON FRIDAY, SEPTEMBER 25, 2026, AT 03:30 P.M.
1. DAY, DATE, TIME, VENUE AND MODE OF THE MEETING:
The 34th Annual General Meeting (AGM) of the Members of the Company was held on Friday, September
25, 2026, at 03:30 p.m. through Video Conferencing (VC) / Other Audio Visual Means (OAVM) in
accordance with the provisions of the Companies Act, 2013 ('the Act'), SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 ('SEBI Listing Regulations') and relevant circulars issued in
this regard by the Ministry of Corporate Affairs ('Circulars'), to transact the business as mentioned in the
AGM Notice. The deemed venue of the AGM shall be the Registered Office of the Company situated at
Vadadala, Phase-II, Savli, Vadodara, Gujarat, India – 391520.
2. PROCEEDINGS OF THE MEETING
(a) Opening of the Meeting
Mr. Jayesh Patel, Company Secretary, welcomed the Members to the 34th Annual General Meeting and
briefed them on the key procedural aspects relating to participation in the Meeting held through video
conferencing / other audio-visual means.
(b) Chairman Takes the Chair
The Company Secretary confirmed that the requisite quorum was present. The Chairman then called the
Meeting to order and declared the 34th Annual General Meeting duly constituted. Thereafter, the
Chairman welcomed the Members, his fellow Directors and other invitees present at the Meeting
(c) Introduction of Directors, Key Managerial Personnel and Professionals
The Chairman then introduced the Directors, KMP and auditors present in the meeting
DIRECTORS AND KEY MANAGERIAL PERSONNEL PRESENT THROUGH VC/OAVM:
1) Mr. Maheswar Sahu Chairman & Independent Director
2) Mr. Rakesh Ramanlal Shah Non-Executive Promoter Director
3) Mr. Himanshu Shah Non-Executive Promoter Director
4) Dr. Varsha Adhikari Independent woman Director
5) Mr. Umeshkumar Chhaya Additional Director / Whole-time Director, as applicable
6) Mr. Pawan Lohiya Chief Financial Officer
7) Mr. Jayesh Patel Company Secretary and Compliance Officer
Mr. Rakesh Ramanlal Shah, Non-Executive Promoter Director, joined the meeting after its
commencement, during the proceedings of meeting. Mr. Rabindra Nath Nayak, Director, was not attend
the meeting due to pre-occupation and the Chairman informed the Members accordingly.

Representatives of the Statutory Auditors, Secretarial Auditor and Cost Auditors of the Company
1) Representative of M/s Naresh & Co., Chartered Accountants, Statutory Auditors of the Company;
2) Mr. Ashish Shah, Practicing Company Secretary, Secretarial Auditor of the Company; and
3) Mr. Malhar Dalwadi / representative of M/s Dalwadi & Associates, Cost Auditors of the Company.
(d) Notice, Annual Report and Statutory Documents
The Chairman informed the Members that the Notice dated August 13, 2026, convening the 34th Annual
General Meeting (AGM) along with the Annual Report for the financial year 2025-26 had been circulated
to the Members.
The Chairman further informed the Members that
(1) Statutory Auditors, M/s. Naresh & Co., Chartered Accountants, have issued a qualified audit report
on the financial statements for the financial year 2025-26, relating to the maintenance of the Fixed
Assets Register and the assessment of impairment of fixed assets. The qualifications, along with
the Board's explanations and the corrective actions taken by the Company, were read out at the
meeting and are disclosed in the Directors' Report forming part of the Annual Report.
(2) Secretarial Auditors, M/s. Ashish Shah & Associates, Practicing Company Secretaries, have issued
a qualified Secretarial Audit Report for the financial year 2025-26 regarding non-compliance with
the Minimum Public Shareholding ("MPS") requirement. The qualification, along with the Board's
explanations and the corrective actions taken by the Company, was read out at the meeting and
is disclosed in the Directors' Report forming part of the Annual Report
(3) Cost Auditors, M/s. M/s Dalwadi & Associates, Cost Accountants, have issued their Cost Audit
Report for the financial year 2025-26 with qualifications arising from, and to the extent applicable
to, the qualifications contained in the Statutory Auditors' Report. The Board's explanations on
these qualifications are disclosed in the Directors' Report forming part of the Annual Report
The Notice convening the 34th AGM and the Annual Report for the financial year 2025-26, having been
circulated to the Members, were taken as read with the consent of the Members present
He stated that the Company has moved from a phase of rebuilding and recovery to one of growth and
expansion, and that its focus is now on strengthening its business and capabilities and creating sustainable
long-term value for all stakeholders and addressed the shareholders and presented the key highlight of
financial performance of the Company for the Financial Year 2025-26, inter alia covered the following;
Financial Performance
The Chairman informed the Members that, on a consolidated basis, the Company's total revenue for FY
2025-26 increased to about ₹1,910 crore from ₹1,115 crore in the previous year, EBITDA rose to ₹224
crore with the margin improving to 11.7% from 6%, and profit after tax increased to ₹158 crore from ₹34
