September 25, 2026 BSE Limited National Stock Exchange of India Limited Floor 25, P J Towers, Exchange Plaza, Dalal Street, Bandra Kurla Complex, Mumbai – 400 001 Bandra (E), Mumbai – 400 051 Scrip Code: 533096 Scrip Code: ADANIPOWER Dear Sir(s) / Madam, Sub.: Scheme of Amalgamation – Update Ref.: Our intimation dated August 5, 2026 and September 25, 2026 We refer to our letters dated August 5, 2026 and September 25, 2026, providing an update about the sanctioning of the Scheme of Amalgamation of the ten wholly owned subsidiaries namely (i) Adani Power Dahej Limited; (ii) Kutchh Power Generation Limited (a step down wholly owned subsidiary of APL); (iii) Resurgent Fuel Management Limited; (iv) Mahan Fuel Management Limited; (v) Orissa Thermal Energy Limited; (vi) Korba Power Limited; (vii) Anuppur Thermal Energy (MP) Private Limited; (viii) Mirzapur Thermal Energy (UP) Private Limited and (ix) Emberiza Infra Park Limited and (x) Vidarbha Industries Power Limited, with APL (the “Scheme”), by the Hon’ble National Company Law Tribunal, Bench at Ahmedabad, vide its order dated August 4, 2026 and Hon’ble National Company Law Tribunal, Bench at Mumbai, vide its order dated September 24, 2026. Further to our aforesaid letters, we wish to inform and update you that all the conditions to make the Scheme effective, as specified under the Scheme, have been fulfilled. Accordingly, the Scheme has become effective today, i.e., September 25, 2026 (“Effective Date”) and consequently, the above mentioned ten wholly owned subsidiaries stand amalgamated with Adani Power Limited and dissolved without being wound up. In accordance with the Scheme, the Appointed Date of the Scheme is April 1, 2025. Kindly take the above on record. Thanking you.
