Sub: Disclosure under Regulation 30 of Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing
Regulations”): Update on hearing before NCLT, Allahabad Bench at Prayagraj
This is in continuation of our earlier intimation dated 3rd July 2026 bearing no: IGL/SE/2026-
27/22 in relation to the Scheme of Arrangement amongst India Glycols Limited (“Demerged
Company”/ “the Company”), Ennature Bio Pharma Limited (“Resulting Company 1” / “EBL”)
and IGL Spirits Limited (“Resulting Company 2”/ “ISL”) and their respective shareholders,
involving demerger of Bio Pharma Undertaking into EBL and Spirits and Biofuel Undertaking
into ISL (“Scheme”), pursuant to the provisions of Section 230 to 232 of the Companies Act,
2013 and the rules framed thereunder.
In this regard, we wish to inform that the Hon’ble National Company Law Tribunal, Allahabad
Bench at Prayagraj (“Hon’ble NCLT”) has today, i.e., on 17th July 2026, pronounced its Order,
sanctioning the aforesaid Scheme (“Order”).
The copy of the Order will be submitted once the same is uploaded on the website of the
Hon’ble NCLT.
