GOCL Corporation Limited September 25, 2026 BSE Limited National Stock Exchange of India Limited Phiroze Jeejeebhoy Towers, Exchange Plaza, C-1, Block G, Dalal Street, Bandra-Kurla Complex Mumbai-400001 Bandra (E), Mumbai - 400051 Through: BSE Listing Center Through: NEAPS Dear Sir/Madam, Sub: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Receipt of Order from the National Company Law Appellate Tribunal, Chennai directing National Company Law Tribunal, Amravati bench with regards to passing of orders for convening and fixing the meeting of Equity Shareholders of the Company and appoint the chairperson, scrutinizer and fix their remunerations in connection with the Scheme of Merger by Absorption of Hinduja National Power Corporation Limited (“Transferor Company”) into GOCL Corporation Limited (“Transferee Company”) and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“Scheme”) Ref: BSE Scrip code: 506480, NSE Scrip symbol: GOCLCORP This is in furtherance of our earlier intimation dated May 22, 2026 and pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we wish to inform you that GOCL Corporation Limited (“Company” / “GOCL”) and Hinduja National Power Corporation Limited (“HNPCL”) had jointly filed a First Motion Company Scheme Application before the Hon’ble National Company Law Tribunal, Amravati Bench (“NCLT”) bearing C.A. (C.A.A.) No. 2/230/AMR/2026, seeking, inter alia, directions in relation to allowing the First Motion Company Scheme Application and availing directions for convening of meeting of the equity shareholders in connection with the Scheme. The Hon’ble NCLT, vide its order dated July 30, 2026, dismissed the said First Motion Company Scheme Application, inter alia, on the following grounds: 1. that the Appointed Date under the Scheme, being April 1, 2025, was more than one year prior to the date of filing of the application and, in the view of the Hon’ble NCLT, adequate justification had not been provided in terms of MCA General Circular No. 09/2019 dated August 21, 2019; 2. that certain discrepancies were noted in the financial statements, annual reports and other documents filed along with the Scheme Application; and Page 1 of 2 Corporate Office: URJA HEIGHTS, 2nd Floor, D. Aggrieved by the aforesaid order, HNPCL and GOCL preferred an appeal before the Hon’ble National Company Law Appellate Tribunal, Chennai Bench (“NCLAT”) under Section 421 of the Companies Act, 2013, being Company Appeal (AT) (CH) No. 88/2026, inter alia, challenging the order dated July 30, 2026 passed by the Hon’ble NCLT. In this regard, we wish to inform you that the Company has received the Order dated September 25, 2026 passed by the Hon’ble NCLAT, Chennai Bench, whereby the Hon’ble NCLAT has allowed the appeal and set aside the order dated July 30, 2026 passed by the Hon’ble NCLT, in C.A. (C.A.A.) No. 2/230/AMR/2026. The Hon’ble NCLAT has further directed the Hon’ble NCLT, to: a) appoint the Chairman and Scrutinizers for the meetings; b) fix their respective remuneration; and c) prescribe a schedule for the meetings, within one week from the date of the NCLAT order and, in any event, not later than October 5, 2026. The Hon’ble NCLAT, while allowing the appeal, has, inter alia, observed that the issues considered by the Hon’ble NCLT at the First Motion stage were premature and that the process of consideration of the Scheme should proceed to the stage where the shareholders and creditors, as applicable, are afforded an opportunity to consider the Scheme. The Hon’ble NCLAT also noted that, since GOCL is a listed company, the applicants were required to obtain the requisite observations from the Stock Exchanges/SEBI prior to approaching the Tribunal and that the requisite observations had been received only in May 2026, following which the First Motion Company Scheme Application was filed on June 22, 2026. The Company will make further disclosures, as may be required under the applicable provisions of the SEBI Listing Regulations, upon receipt of further directions/orders from the Hon’ble NCLT and as the Scheme progresses.
