Dear Sir/Madam,
We wish to inform that the 31st Annual General Meeting (“AGM”) of the members of VAS
Infrastructure Limited (“the Company”) was held today, i.e., Friday, September 25, 2026, at
12.30 P.M through Video Conferencing (“VC”) facility (Deemed Venue), in the presence of
the Resolution Professional of the Company, the Company being under Corporate Insolvency
Resolution Process (“CIRP”).
In this regard, we hereby submit the summary of proceedings of the 31st AGM of the Company
pursuant to Regulation 30 read with Schedule III of the Listing Regulations. The 31st AGM
was concluded at 12:54 P.M

Summary of Proceedings of the 31st Annual General Meeting (AGM) of VAS
Infrastructure Limited held on September 25, 2026
Pursuant to the order dated March 11, 2024, passed by the Hon’ble National Company Law
Tribunal, Mumbai Bench, in C.P. (IB)/314/MB/2023 (“NCLT Order”), Corporate Insolvency
Resolution Process (“CIRP”) has been initiated against the Company in accordance with the
provisions of the Insolvency and Bankruptcy Code, 2016 (“Code”) and the rules and
regulations issued thereunder, with effect from March 11, 2024 (CIRP commencement date).
Thereafter, the Hon’ble National Company Law Tribunal, Mumbai Bench, in IA No. 3523 of
2026 in C.P. (IB) No. 314 (MB) of 2023 vide order dated 13th August 2026 (Uploaded on
NCLT website on 24th August 2026), appointed Mr. Bimal Kumar Agarwal (IBBI Registration
No. IBBI/IPA-001/IPP01409/2018-2019/12186) as the Resolution Professional.
Pursuant to the said order and in terms of Section 17 of the Code, the powers of the Board of
Directors of the Company stand suspended and are vested in the Resolution Professional, Mr.
Bimal Kumar Agarwal. Accordingly, this meeting was convened by the Resolution
Professional solely to the limited extent of discharging the powers of the Board of Directors of
the Company as conferred upon him during the continuance of the CIRP.
The 31st AGM of the members of the Company was convened on Friday, September 25, 2026,
through Video Conferencing (VC) facility (Deemed Venue) at Jwala Estate, Pushp Vinod-2, A
Wing, 2nd Floor, Soniwadi, Near Kora Kendra, Off S.V. Road, Borivali (West), Mumbai –
400 092. The meeting commenced at 12.30 P.M.
Mr. Bimal Kumar Agarwal, Resolution Professional of the Company, extended a welcome to
the members participating through VC.
Mr. Bimal Kumar Agarwal presided over the proceedings of the meeting to the limited extent
of discharging the powers of the Board of Directors as conferred upon him under Section 17
of the Code. He welcomed the members present and briefly explained the reasons for the
meeting being convened by the Resolution Professional during the continuance of the CIRP.
Upon confirmation that the necessary quorum was present, the Resolution Professional called
the meeting to order.
The relevant documents in relation to the Annual Report for FY 2025-26 and the registers
required under the Companies Act, 2013 (“the Act”) were made available for inspection during
the meeting.
The Notice convening the 31st AGM and the Annual Report for the financial year ended March
31, 2026, were taken as read, having already been circulated to the members. As the Statutory
Auditor’s Report and the Secretarial Auditor’s Report were also taken as read at the meeting.
Mr. Bimal Kumar Agarwal, Resolution Professional informed that as the Resolution
Professional it is his responsibility is to manage the affairs of the Company in accordance with
the provisions of the Insolvency and Bankruptcy Code, 2016, including preserving the value
of the assets of the Company and ensuring that the operations of the Company continue as a
going concern, to the extent applicable.
The Audited Financial Statements for the financial year ended 31st March 2026 placed before
the members provide the financial position and performance of the Company for the year under
review.
It was also informed that the Hon’ble NCLT, Mumbai Bench, vide its order dated 7th July 2026,
directed the re-run of the resolution process under the newly appointed Resolution Professional.
Accordingly, the future course of the Company remains subject to the progress and outcome
of the Corporate Insolvency Resolution Process, including the receipt of expressions of interest,
consideration and approval of a Resolution Plan by the Committee of Creditors and the
approval of the Hon’ble National Company Law Tribunal, as applicable.
The Resolution Professional placed on record appreciation for the cooperation extended by the
employees, management team, professional advisors and other stakeholders in facilitating the
continued operations and compliance requirements of the Company during the CIRP.
The Resolution Professional informed the members that, pursuant to the applicable circulars
issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board
of India (“SEBI”), the Company convened the meeting through VC facility in compliance with
the applicable provisions of the Act and the SEBI Listing Regulations read with the relevant
MCA and SEBI circulars.
The Resolution Professional further informed the members that the Company had provided the
remote e-voting facility, as well as the facility for voting by poll for members attending the
meeting through VC, in respect of the resolutions proposed in the Notice of the AGM.
The Resolution Professional then read out the titles of the following resolutions, as set out in
the Notice of the AGM, for consideration and approval of the members:

Resolution Statement of the Company, including the Balance Sheet as at March
31, 2026, and the Statement of Profit and Loss for the year ended on
that date, together with the Reports of the Board of Directors and

02. Ordinary Appointment of M/s. Pranay Mandhana and Associates, Company
Resolution Secretaries, Nagpur (Membership No. A60165, Certificate of
Practice No. 23399), as Secretarial Auditors of the Company for a
term of one consecutive financial year commencing from FY 2026-
Members who had registered themselves as speakers were invited to share their views and raise
queries. All queries raised by the speaker-members were suitably responded to, and the
Resolution Professional thanked them for their participation and comments.
M/s. RSMJ and Associates, Chartered Accountants, (FRN.114483W), was appointed as
the Scrutinizer for the voting process, whose decision on the validity of votes and the results
of the voting shall be final.
On receipt of the Scrutinizer’s report, the results of the voting will be announced within 48
hours from the conclusion of the meeting.
The Resolution Professional shall announce the results of the voting at the AGM and place the
same on the website of the Company and the agency providing the remote e-voting facility. He
further informed the members that the results would also be submitted to BSE Limited.
The Resolution Professional proposed a vote of thanks. The meeting concluded at 12:54 p.m.
