“Company”) held today i.e. Friday, September 25, 2026 at 12:00 Noon (IST) through Video
Conferencing /Other Audio-Visual Means (“VC/OAVM”) in compliance with applicable circulars
issued by the Ministry of Corporate Affairs and SEBI.

Summary of Proceedings of the 19th Annual General Meeting of
Yatharth Hospital & Trauma Care Services Limited
The 19th Annual General Meeting (“AGM”) of the Members of Yatharth Hospital & Trauma Care
Services Limited (the “Company”) held today i.e. Friday, September 25, 2026 at 12:00 Noon
(IST) through video conferencing / Other Audio-Visual Means (“VC/OAVM”) in accordance with
the applicable provisions of Companies Act, 2013 read with the Rules framed thereunder and the
Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015 and the Circulars issued by Ministry of Corporate Affairs (“MCA”) and the
Securities and Exchange Board of India (“SEBI”).
Chairman of the Meeting
Dr. Ajay Kumar Tyagi, Chairman & Whole-time Director of the Company, was unable to attend
the Meeting, Mr. Yatharth Tyagi, Whole-time Director of the Company, with the consent of the
Board of Directors, took the Chair and presided over the Meeting.
Quorum
The number of members as on cut-off date i.e. Friday, September 18, 2026 were 99769.
The details of number of members present in the meeting through VC/OAVM were as follows:

At the aforesaid AGM, the Chairman declared that the quorum was present and called the
meeting to order.
Attendance
The Company Secretary informed the members in detail about the procedure of convening the
AGM through VC / OAVM and also the process of voting through remote e-voting as well as e-
voting during the AGM for the members, who were present at the AGM and had not cast their
votes electronically.
He then introduced the Board and other Company officials present in the meeting as under:

Dr. Ajay Kumar Tyagi, Chairman & Whole-time Director and Dr. Kapil Kumar, Managing Director
of the Company were unable to attend the Meeting due to unavoidable circumstances.
The Chairperson of the Audit Committee, Nomination and Remuneration Committee and
Stakeholders Relationship Committee were present at the AGM to answer the queries of
members, if any.
Thereafter, the Company Secretary requested the Chairman to address the members and apprise
them of the Company’s strong operational and financial performance during the Financial Year
2025–26. After the Chairman’s speech, the Chairman requested Mr. Amit Kumar Singh, Group
Chief Executive Officer to provide an overview of the Company’s business. Thereupon, he
apprised the Members of the Company about the key highlights, its progress, recent acquisitions
and CSR activities undertaken during the year. Thereafter, the Company Secretary requested Mr.
Yatharth Tyagi, Chairman of the meeting, to deliver his speech.
Mr. Yatharth Tyagi apprised the Members about the business operations of the Company, its
financial position and growth, expansion initiatives, prospects and key achievements.
The Company Secretary informed the members that since this meeting was convened through
VC/OAVM and the notice convening 19th AGM, Directors’ Report, Auditors’ Report, Financial
Statement including Consolidated Financial Statements having already been circulated to the
members, and the resolutions provided in the notice have already been put to vote through e-
voting, there will be no proposing and seconding for the resolutions. Thereafter, he read in brief
the resolutions proposed in the AGM notice.
The Company Secretary confirmed that the Notice of the 19th AGM, along with the Annual
Report for FY 2025–26, was sent electronically to all eligible shareholders on Thursday,
September 03, 2026.
Remote e-voting was conducted from Tuesday, September 22, 2026 (09:00 AM) to
Thursday, September 24, 2025 (05:00 PM).
E-voting facility was also provided during the AGM through CDSL.
It was further informed that members who had not cast their votes through remote e-
voting could vote during the AGM.
It was also confirmed that there were no qualifications in the Statutory Auditor’s Report
or Secretarial Auditor’s Report.
Members who had registered themselves as speakers were invited to raise their queries,
which were addressed suitably. Some of the members who participated at the AGM
extended their compliments to the Chairman and the Management for the performance of
the Company.
The following businesses were transacted, and the resolutions set out in the Notice of AGM were
put to vote for approval by the members through remote e-voting and e-voting during the
meeting:
