video conferencing.
Dear Sir/Madam,
Pursuant to Regulation 30, Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Please find enclosed herewith the proceedings of 41st Annual General Meeting of the Catvision Limited held on Friday, 25th
September, 2026, through Video Conferencing (VC) and Other Audio-Visual Means (OAVM).
Proceedings of 41st Annual General Meeting:
The 41st AGM of the Catvision Limited was held on Friday, 25th September, 2026, through Video Conferencing (VC) and Other
Audio-Visual Means (OAVM), which started at 01.00 p.m and concluded at 02:00 p.m.
The following Board Members were present through video conferencing at the 41st Annual General Meeting of the Company.
1. Mr. Syed Athar Abbas - Managing Director
2. Mrs. Hina Abbas - Whole Time Director
3. Mr. Sudhir Damodaran - Non-Executive Director
4. Grp. Cap. Seraj Mehdi - Independent Director
Mr. Syed Athar Abbas, Managing Director of the company was unanimously appointed as chairman of the meeting by the Board
of Directors.
Mr. Dilip Das, CFO & Company Secretary, welcomed the Members present at the meeting, thereafter, he introduced the Board
Members who were attending the meeting through video Conferencing. After ascertaining that the requisite quorum was present
through video conferencing, with the permission of the Chairman, Mr. Dilip Das called the meeting to order and commenced the
proceedings.
Mr. Dilip Das informed that the AGM was conducted through VC / OAVM in accordance with regulatory guidelines. Mr. Dilip Das
further informed that the Company had tied up with National Securities Depository Limited (NSDL) to provide facility to
shareholders to vote on the proposed resolutions through remote e-voting, e-voting during the AGM pursuant to the provisions
of Section 108 of the Companies Act, 2013 and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulation, 2015, and facilitating the participation of shareholders in the AGM through VC / OAVM. After that, he also shared
some advisory to the shareholders.
He informed that M/s Pramod Kothari & Co., Company Secretaries, had been appointed as the scrutinizer to scrutinize the voting
process in a fair and transparent manner.
He then stated that, scrutinizers report along with e-voting results would be submitted to the stock exchange within 48 hours of
the conclusion of the AGM and would also be placed on the website of the Company at www.catvisionindia.com.
With the permission of the members, he took notice of meeting along with Audited Standalone and Consolidated Financial
Statements of the company for the year ended 31st March, 2026 and report of the Board of Directors thereon, being already
circulated as read.
He further informed that, the Auditor’s report on the financial statements for the financial year ended 31st March, 2026, and
Secretarial Audit Report for the same period did not have any qualification, observations, comments or other remarks.
He further informed that Company had received a request from 16 shareholders, Ashok Kumar Jain Sachin Singhal,
Gagan Kumar, Surender Kumar Arora, Ajay Kumar Jain, Urmila Jain, Ankur Chanda, Raju Verma, Pramod Kumar Jain, Praveen
Kumar, Lokesh Gupta, Chander Jeet, Rishi K Chopra, Narender Singh Chauhan, Rattan Kumar Jain , Reddeppa Gundluru to register
them as speaker in the AGM.
Thereafter, he requested the Chairman to address the members and give an overview on the financials for the year ended 31st
March, 2026, and future growth prospects of the Company.
Chairman greeted the shareholders and informed the shareholders that during the year under review, the Company witnessed
growth across most of its business segments. Total revenue increased by 10.42%, sales grew by 15.16%, services by 6.93%, and
other income by 15.79%. The Company also turned around its profitability, with Profit Before Tax of ₹27.78 lakhs, compared to a
loss of ₹14.47 lakhs in the previous year. In view of the improved performance, the Company declared a dividend of 20%.
Coming to the performance of individual divisions:
The Broadband Network Solutions Division, earlier known as the Network Systems Division, recorded a decline of 9.34%. The
division continues to recover from the disruption in the traditional cable TV business. However, the shift towards fibre-based
broadband, where Internet, linear TV and OTT services are being delivered together, presents significant long-term opportunities.
The Hospitality Sales Division performed well, with revenue growing by 19.85%. Increasing adoption of IPTV by hotels and
hospitals, along with the growing demand for OTT and interactive services, has supported this growth. The Company continues
to leverage its experience in providing IPTV solutions across different segments of the hospitality industry.
The Channel Marketing Division recorded a revenue growth of 15.23%. IPTV and OTT continue to expand as important platforms
for television content distribution. During the year, the Company strengthened its association with JioTV+ and JioTV and also
added three FAST channels from the TV5 network—TV5 Chefs, TV5 Lifestyle and TV5 Info—to JioTV+. The Company expects to
add more channels during the current year.
Finally, the Online Sales Division delivered strong growth of 45.65%. This was supported by better availability of existing products
and the introduction of new products, including mini UPS units for WiFi routers. While the sharp increase in memory chip costs
remains a challenge, the Company is focused on expanding its product range and introducing new products to sustain this growth.
Overall, the Company remains focused on strengthening its existing businesses, developing new products and services, and
capturing the emerging opportunities in broadband, IPTV, OTT and digital content distribution.
After giving a detailed overview, the Chairman requested the members to ask, if any of them needed any other information.
Mr. Dilip Das then discussed the businesses which were put up for shareholders’ approval at AGM as set out in the Notice of 41st
AGM.
ORDINARY BUSINESS:
1 To receive, consider, and adopt the audited financial statements of the Company (standalone and consolidated) for
the financial year ended 31st March, 2026, along with the Reports of the Board of Directors and Auditors thereon.
2 To appoint a director in place of Mrs. Hina Abbas (DIN: 01980925), who retires by rotation and, being eligible, offers
herself for re-appointment.
3 To take note of and confirm the payment of interim dividend declared by the board.
4 To appoint statutory auditors and fix their remuneration.
SPECIAL BUSINESS:
5 To approve the continuation of appointment of Mr. Syed Athar Abbas (DIN: 00770259) as Managing Director upon
attaining the age of 70 years and revision of remuneration.
6 To approve the revision in Remuneration of Mrs. Hina Abbas (DIN: 01980925), Whole-time Director of the Company.
Thereafter, the Mr. Dilip Das requested the Speaker Shareholders to express their views.
It was found that out of 16 shareholders who had requested to register themselves as speakers, 10 shareholders were present at
the Virtual AGM, thereafter, Mr. Dilip Das asked all the shareholders to speak one by one.
All shareholder speakers presented their queries sequentially and expressed appreciation for the management’s efforts,
particularly commending the Managing Director and the secretarial department for their ongoing support and timely resolution
of inquiries. They also advised secretarial department to put more efforts in connecting with shareholders in near future.
Subsequently, they inquired about the company’s growth plans and management's forecasts for the upcoming years.
