I, Devesh Kumar Vasisht, Managing Partner of M/s DPV & Associates LLP, Practicing
Company Secretaries (Firm Registration Number: L2021HR009500) was appointed as
Scrutinizer under the authority of Board of Directors of CL Educate Limited (the “Company”)
for the purpose of scrutinizing Postal Ballot conducted by way of electronic voting (“remote e-
voting”) in a fair and transparent manner, in respect of the resolution mentioned in the Postal
Ballot Notice along with explanatory statement dated June 12, 2026 (“Notice”) issued under
the provisions of Section 108 and 110 of the Companies Act, 2013 (“Act”) read with Rule 20 &
22 of the Companies (Management and Administration) Rules, 2014 (as amended from time to
time) (‘Rules”) and read with the General Circulars Nos. 14/2020 dated April 08, 2020, 03/2022
dated May 05, 2022 and 11/2022 dated December 28, 2022, respectively and subsequent
circulars issued in this regard, the latest being 03/2025 dated September 22, 2025, issued by
the Ministry of Corporate Affairs (‘MCA”), and/or any other circulars issued from time to time by
the MCA (collectively referred to as the “MCA Circulars”) read with Secretarial Standard on
General Meetings (“SS-2”) issued by the Institute of Company Secretaries of India and the
Securities and Exchange Board of India (‘SEBI”), other applicable laws, rules and regulations
(including any statutory modification(s), or enactment(s) or re-enactment(s) thereof, for the time
being in force and as amended from time to time).

1. As informed by the Company, Postal Ballot Notice along with explanatory statement and
remote e-voting instructions were sent to all those Members, whose e-mail addresses were
registered with the Company or Registrar and Share Transfer Agent (‘RTA”) or with their
respective Depository Participants (‘DP’) and whose names appeared in the Register of
Members of the Company/ List of Beneficial Owners as maintained by the Depositories as on
Friday, June 12, 2026 (‘cut-off date’).

. The management of the Company is responsible to ensure the compliance with the
requirements of the Act and the Rules thereof including MCA Circulars/ SEBI LODR
Regulations in respect of the resolution contained in the Postal Ballot Notice including the
dispatch of the notice to the Members. My responsibilities as Scrutinizer are restricted to
make a Scrutinizer's Report of the votes cast in ‘Favour’ or ‘Against’ the resolution contained
in the Postal Ballot Notice, based on the report generated from the e-voting system provided
by KFin Technologies Limited (“KFin”).
. The Company has published an advertisement on June 16, 2026, regarding service of Postal
Ballot Notice to eligible Members in English language newspaper “Financial Express - All
Editions” and in Hindi language newspaper "Jansatta - Delhi Edition".
. The Members of the Company holding shares as on the cut-off date were entitled to vote on
the resolution as contained in the Postal Ballot Notice and could vote through remote e-
voting facility only as per the MCA Circulars. Members were provided with the facility to cast
their votes on the designated platform of KFin at https:/evoting.kfintech.com.
. The remote e-Voting commenced on Wednesday, June 17, 2026 at 09:00 AM. (IST) and
ended on Thursday, July 16, 2026 at 05:00 P.M. (IST). Further, the remote e-voting process
was monitored through the Scrutinizer's secured link provided by KFin on its designated
website i.e.
