The Board of Directors of IHH wishes to announce that NTK has, on 24 September 2026, filed a petition for appeal against the judgement issued by the Tokyo District Court dated 10 September 2026 (the “Judgment”) with the Tokyo High Court. After having assessed the Judgment, NTK has concluded that it warrants appellate review by a higher court, and accordingly, has exercised its right of appeal to present its arguments before the Tokyo High Court. NTK remains committed to the vigorous protection of its rights, interests, and entitlements through all appropriate legal avenues. Page | 1 MEDIA STATEMENT Singapore, 24 September 2026 - Northern TK Venture Pte Ltd (NTK), an indirect wholly owned subsidiary of IHH Healthcare, has filed a petition for appeal with the Tokyo High Court against the judgment issued by the Tokyo District Court on 10 September 2026. IHH’s position is that it has suffered losses arising from delays in obtaining the mandatory tender offer approvals required for its acquisition of Fortis Healthcare. These delays occurred in the context of a dispute between Daiichi Sankyo and certain judgment debtors, to which IHH was not a party. IHH-NTK's acquisition of Fortis in 2018 was undertaken through a transparent, widely public and fully regulated process. The transaction obtained all necessary corporate, shareholder and regulatory approvals, including those required under the Competition Commission of India (CCI) and SEBI takeover regulations.
