PROCEEDINGS oF THE 41sr ANNUAL GENEML MEETTNG oF MEHTA TNTEGRATED FINANcE
LIMITED HELD ON FRIDAY 25TH SEPTEMBER, 2026 AT 09:30 A.M. THRoUGH PHYSICAL
PRESENCE AT THE VENUE OF THE MEETING BY WAY OF BALLOT PAPERS.
1. DATE, TIME AND VENUE OF THE MEETING
The 41st Annual General Meeting ('AGM") of the Members of Mehta tntegrated Finance
Limited ("the Company") was hetd on Friday, 25th Septemb er, 2O26, at 09:30 A.M. (lST)
through Physical presence at the Venue of the Meeting by way of baltot papers.
The Meeting was conducted in compliance with the applicable provisions of the
Companies Act, 20L3, the rules made thereunder, the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 ("Listing Regutations"), and the relevant
circulars issued by the Ministry of Corporate Affairs ("MlCA") and the Securities and
Exchange Board of lndia ("SEB!").
2. COMMENCEMENT OF THE MEETING
The Meeting commenced at 09:30 A.M. (lST).
Mr. Kamlesh Patel, Company Secretary & Compliance Officer of the Company, wetcomed
the Members to the Meeting and briefed them on the procedures and other detaits
relating to participation in the AGM through Physical Presence. The requisite quorum
being present, the Meeting was called to order.
Mrs. Bhavna D. Mehta, Chairperson of the AGM, welcomed the Members to the 41st AGM
and took the Chair. Upon confirmation of the requisite quorum, the Chairperson catled
the Meeting to order. He further informed the Members that majority of the Directors
and Key Managerial Personnel of the Company were present at the Meeting.
INTRODUCTION OF DIRECTORS AND OTHER OFFICIALS
The Company Secretary introduced the Directors and Key Managerial Personnel present
at the Meeting:
The following Directors were remained present at the 41st AGM of the Company
Mrs. Bhavna D. Mehta Chairperson (Non-Executive & Non-lndependent) oI the AGM.
Mr. Vishwesh D. Mehta, Managing Director & CFO ( Executive & Non tndependent)
Mr. Shrikant S Kolhar [Non-Executive lndependent Director) & Chairman of the Audit
Committee and NRC Meeting)
4. Mrs. Rupal Amin [Non-Executive lndependent Director)& Chairman of the SRC
Meeting of the Company
The authorised representative of the Statutory Ruditors, Mr. Ravindra C. Mehta,
Chartered Accountant, Partner of M/s. Asim Ravindra & Associates and Mr. Rohit Bajpai
Proprietor of Rohit Bajpai & Associates, Practising Company Secretaries, Secretarial
Auditors and Mr. Sanjay Kukadia, Practising Company Secretary as Scrutinizer for the
AGM, were also present at the Physical Meeting at the venue of the meeting.
4. VOTING FACILITY
The Company Secretary informed the Members that, in compliance with the provisions of
the Companies Act, 2013, Regulation 44 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2075 ("Listing Regulations") and other applicable provisions,
the Company had provided its members with the facility to exercise their voting rights
electronically as well as physical voting at the AGM on all the resolutions set out in the
Notice convening the AGM.
The remote e-voting facility was made available to the Members from Tuesday, 22nd
Septemb er,2026 at 9:00 A.M. (tST) to Thurs day,24th Septemb er,2026 at 5:00 P.M. (lST).
Furthe6 the facility for physical voting at the venue of the meeting during the AGM was
made available to those Members who were present at the Meeting through Physical
presence at the meeting and had not already casted their votes through remote e-voting.
The Company had availed the services of National Securities Depository Limited (NSDL)
for providing the remote e-voting facilities.
5, PROCEEDINGS OF THE MEETING
The Company Secretary thereafter proceeded with the forma! proceedings of the
Meeting and provided an overview of the financial performance of the Company for the
financial year ended March 3L,2026, along with the future outlook of the Company.
With the consent of the Members present at the Meeting, the Notice convening the 41st
AGM, Directors' Report and Audited Financial Statements of the Company for the
financial year ended March 3L, 2026, as circulated to the Members, Directors and
Auditors of the Company, were taken as read.

8. VOTE OF THANKS AND CONCLUSION
The Vishwesh D. Mehta, Managing Director & CFO of the Company, proposed a vote of thanks to
the Members of the Board, the Statutory Auditors, Secretarial Auditors and Scrutinizer, Key
