Basis the recommendation made by Nomination and Remuneration Committee, the Board has approved the appointment of Mr. Hayato Kashiwagi (DIN: 10953592), currently the non-executive Director, as Managing Director of the Company in the category of Executive Director & Key Managerial Personnel of the Company, not liable to retire by rotation, for a term of 3 years with effect from September 01, 2026 subject to the approval of the Members of the Company and all other relevant approvals as prescribed under the Companies Act, 2013 and other applicable law. 2. Appointment of Mr. Praveen Kumar Asthana as an Additional Director of the Company in the capacity of Whole Time Director in the category of Executive Director. Basis the recommendation made by Nomination and Remuneration Committee, the Board has approved the appointment of Mr. Praveen Kumar Asthana the Chief Operating Officer (“Senior Managerial Person”) having DIN: 06830096, as an additional Director in the category of Whole Time- Executive Director & Key Managerial Personnel of the Company, not liable to retire by rotation, for a term of 3 years with effect from July 15, 2026. He will be appointed as Whole Time Director subject to shareholders’ approval, not liable to retire by rotation, for a period of 03 years with effect from July 15, 2026. Mr. Asthana has also been appointed as Occupier of all the factories of the Company. 3.
