The Annual General Meeting (‘AGM’) of Vaishali Pharma Limited (‘the Company’) was
held today i.e. Thursday, 24th September, 2026 which was commenced at 12:00 P.M and
concluded at 12.12 P.M. through Video Conferencing and Other Audio-Visual Means
(VC/OAVM) in accordance with the relevant circulars issued by Ministry of Corporate
Affairs (“MCA”) and Securities and Exchange Board of India (“SEBI”).
Mr. Atul Arvind Vasani (DIN: 02107085), Chairman and Managing Director of the
Company, welcomed the Members, Directors and other stakeholders present at the 19th
AGM.
Thereafter, Mr. Dewansh Ajay Vasani (DIN: 08111804), Executive Director and Chief
Financial Officer of the Company, took over the proceedings and welcomed the Members.
He informed the Members that the AGM was being conducted through VC/OAVM in
accordance with the applicable MCA circulars and that the necessary arrangements had
been made to facilitate participation and voting by the Members.
With the consent of the Members, the Notice convening the AGM was taken as read. Since
the Statutory Auditors’ Report did not contain any qualification, observation, comment or
other adverse remark having any material effect on the functioning of the Company, the
same was not required to be read out.
Thereafter, Mr. Vishwa Mekhia, Company Secretary, took over the proceedings and briefed
the Members regarding the general instructions for participating in the AGM and the e-
voting process.
The Members were informed that the remote e-voting facility had commenced on 21st
September, 2026 at 09:00 A.M. and concluded on 23rd September, 2026 at 05:00 P.M.
Members who had not cast their votes through remote e-voting were provided an
opportunity to cast their votes during the AGM through the e-voting facility provided by
Central Depository Services (India) Limited (“CDSL”). The e-voting facility was kept open
for a further period of 15 minutes after the conclusion of the AGM to enable eligible
Members who had not voted earlier to cast their votes.
The Members were further informed that Mr. Hardik Darji, Proprietor of HD and
Associates, Practicing Company Secretaries, had been appointed as the Scrutinizer to
scrutinize the remote e-voting and e-voting process conducted during the AGM in a fair and
transparent manner.
The consolidated voting results, together with the Scrutinizer’s Report, would be declared
on or before 26th September, 2026 and submitted to the Stock Exchanges and uploaded on
the websites of the Company and CDSL, in accordance with the applicable provisions.
Since the AGM was being conducted through VC/OAVM and the resolutions had already
been put to vote through remote e-voting, the Members were informed that there would be
no proposing or seconding of the resolutions and no voting by show of hands.
Thereafter, the Company proceeded with the agenda items as set out in the Notice
convening the 19th AGM.

The Members were once again informed that, as the resolutions had already been put to vote
through remote e-voting, there would be no proposing or seconding of the resolutions and
no voting by show of hands.
Thereafter, the Company Secretary declared the 19th Annual General Meeting concluded and
thanked the Members, Directors and other stakeholders for their participation.
The Meeting commenced at 12:00 P.M. and concluded at 12:12 P.M. The e-voting facility was
thereafter kept open for a further period of 15 minutes to enable Members who had not cast
their votes earlier to cast their votes.
