Dear Sir / Madam, We refer to our intimation dated February 25, 2026 informing approval by the Preferential Issue Committee of the Board for proposal to issue of warrants convertible into equity shares to the promoters group entity by way of preferential issue of 45,95,795 warrants at a price of Rs. 102.87 per warrant (the Issue) and further intimation dated March 10, 2026 in this respect. We further update you that it decided today to withdraw the proposed Issue. The reasons for withdrawing the Issue include with a view to consider fresh issue in future with such objects as may be necessary or to meet requirement of the Company in future as and when necessary. The objective of the Issue was mainly to strengthen working capital requirement of the Company, which now have been arranged and met by way of other means. The Company has made application for an in-principal approval for the above proposed Issue to BSE Limited (BSE) and National Stock Exchange of India Limited (NSE). The Company will withdraw the said applications. Accordingly, all disclosures / intimations / submissions including made to the Stock Exchanges in connection with this preferential issue be treated as withdrawn. We hereby clarify and assure you that the withdrawal of the above-mentioned proposed Issue shall not have any adverse impact on the financial position and operations of the Company.
