Sub: Scrutinizers Report (Consolidated - Physical and e-voting) pursuant to Section
108 of the Companies Act, 2013 and Rule 20 of the Companies (Management
and Administration) Rules, 2014 on the results of the Remote E-voting and
voting conducted through Ballot Paper at the 88th Annual General Meeting of
the Jammu and Kashmir Bank Limited ('Bank') held on Tuesday, September 22,
2026 at 11:00 A.M. at Sher-i-Kashmir International Conference Centre (SKICC),
Srinagar - 190001
DearSir,
1. I, Ghulam Jeelani Reshi, Company Secretary in Practice (Membership No. FCS
8nO/c.p. No. 10020), hasbeenappointed asthe Scrutinizer bythe Boardof Directors
of the Bankfor the remote e-voting and Ballot conducted at the 88 thAnnual General
Meeting of the Bank held on September 22, 2026 at 11:00 A.M. at Sher-i-Kashmir
International Conference Centre (SKICC),Srinagar (J&K) - 190001.
2. The Notice dated August 29, 2026, along with the Addendum to the Notice dated
September 14, 2026, including the Statement setting out the material facts pursuant
to Section 102of the CompaniesAct, 2013, in respect of the businessesproposed in
the Notice andthe Addendum thereto, together with the Integrated Annual Report for
the financial year 2025-26, asconfirmed by the Bank, were sent electronically by e
mail to those Members whose e-mail addresses were registered with the Bank,
Depository Participants or the Registrar to an Issueand ShareTransfer Agent (RTA).
Further, in accordance with the applicable regulatory requirements, a letter
containing the Web-Link, QRCodeandNavigation Pathfor accessingthe Notice of AGM
and Integrated Annual Report for the financial year 2025-26 was dispatched to those
Members whose e-mail addresses were not registered with the Bank, Depository
Participants or the Registrar to an Issueand ShareTransfer Agent (RTA).
3. The voting rights were reckoned asonTuesday, September 15, 2026being the cut-off
date for the purposeof deciding the entitlements of members at the remote e-voting
and voting at the venue of the 88 thAnnual General Meeting.
assent or dissent in respect of the five (5) OrdinaryISpecial Resolutions, on the e
voting platform provided byMis BigshareServicesPrivate Limited. The Bankhadalso
made arrangements for voting through Ballot Paperat the venue of the AGM.
5. The Bank's management was responsible for ensuring the compliance with the
requirements of the CompaniesAct, 2013andRulesrelating to e-voting andresolutions
contained in the Notice andAddendum to Notice sent to the shareholders of the Bank.
Asa scrutinizer, my role in the e-voting processis restricted to make a Scrutinizer's
Report of the votes cast in "favour" or "against" the resolutions basedon the e-voting
of shareholders of the Bank from the reports generated from the e-voting system
provided by Mis BigshareServices Private Limited and from the ballot voting process
conducted on the day of the AGM.
6. Assoonasthe Chairman announced the conducting of the Ballot Paper, I had locked
the empty polling boxin the presenceof two witnesses. After completion of the voting
by ballot Iunlocked the polling boxin the presence of two witnesses and ballot papers
were diligently scrutinized. The ballot papers were reconciled with the records
maintained by the Registrar to an Issueand ShareTransfer Agent of the Bankand the
proxies lodged with the Bank.
7. The ballot papers, which were incomplete andlor which were otherwise found
defective have been treated asinvalid and kept separately.
8. I then unblocked the remote E-voting results on the Mis Bigshare Services Private
Limited E-voting platform before the sametwo witnesses who are not in employment
of the Bankand downloaded the e-voting results.
9. Iobserved that:
a) 339Members hadcasted their votes through remote e-voting.
b) 156Members hadcasted their votes through Ballot.
10. I, now submit my Scrutinizer Report on the results of the voting through the e-voting
processand ballots in respect of the following:
Item No.1 Adoption of Audited Standalone and Consolidated Financial Statements of the Bank for
the Financial Year ended 31stMarch, 2026 along with the report of Board of Directors and
