(Listing Obligations and Disclosure Requirements) Regulations, 2015
Dear Sir/ Madam,
We refer to our letter dated 08 July 2026 intimating about the meeting of the Board of Directors
("Board") of Himadri Speciality Chemical Ltd (“Company”/ “Himadri”) scheduled to be held on 15
July 2026, inter-alia to approve and take on record the Unaudited Financial Results (Consolidated and
Standalone) for the quarter ended 30 June 2026.
Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we would like to inform you that the
Board of the Company at its’ meeting held today i.e. on 15 July 2026, inter-alia has considered and
approved the following:
1. Unaudited Financial Results (Consolidated & Standalone) for the quarter ended 30 June
2026 is enclosed as ‘Annexure-I’.
We are enclosing herewith the following pursuant to Regulation 30 and Regulation 33 read with
the applicable provisions of Schedule III and Part A of Schedule IV of the SEBI Listing Regulations
and SEBI Master Circular no. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30,
2026:
i) Unaudited Financial Results (Consolidated and Standalone) for the quarter ended 30 June 2026.
ii) The Limited Review Report of the Statutory Auditors of the Company, M/s Singhi & Co,
Chartered Accountants on the Unaudited Financial Results (Consolidated and Standalone) for
the quarter ended 30 June 2026.
2. Capex of Rs 128 Crores for expanding the capacity to manufacture Anthraquinone and
Carbazole from 2600 MTPA to 5300 MTPA.
This has reference to our earlier announcement dated 13 January 2025 wherein the Board approved
Capex of Rs. 120 Crores for setting up facility to manufacture high-value specialty products,
Anthraquinone and Carbazole for 2600 MTPA.
At its meeting held today, the Board has approved an additional capex of Rs. 128 Crores to enhance
the project's capacity from 2600 MTPA to 5300 MTPA. This capex will be funded primarily
through internal accruals. The proposed capex will not result in any change in the Company's
existing overall production capacity.
The project will be implemented in two phases:
o Phase 1 – Capacity of 2600 MTPA to be commissioned by Q2FY27.
o Phase 2 – Balance capacity of 2700 MTPA, expected to be commissioned by Q2FY28.
3. Capex of Rs. 70 Crores for setting up India’s First manufacturing facility of Carbon Nano
Tubes (CNT) in West Bengal with In-house developed technology.
Aligned with Company’s vision to expand into high-value products, we have successfully
developed in-house technology to manufacture Carbon Nano Tubes (CNT) through relentless R&D
efforts, marking another milestone in our innovation journey. The Board at its meeting held today
has approved a capex for setting up manufacturing facility in West Bengal for production of CNT,
with an annual production capacity of 200 MT at an estimated project cost of Rs. 70 Crores, to be
funded through internal accruals. This facility will be India’s First CNT manufacturing facility with
in-house developed technology and is expected to be commissioned by Q4FY27.
The manufacturing of CNT will position Himadri among a select group of few global manufacturers
serving this high-growth market.
CNT is widely used in industries such as:
Electric vehicles (EVs) – lithium-ion battery conductive additives, Electronics – semiconductors,
conductive films, sensors, Composites – lightweight, high-strength materials for aerospace and
automotive, Energy – batteries, supercapacitors, fuel cells, Industrial coatings and plastics –
improving electrical conductivity and mechanical strength.
This strategic move marks a significant step towards reducing import dependency and aligns with
Company’s commitment towards the Government of India's vision of an Atmanirbhar Bharat.
Disclosures required under Regulation 30 read with Schedule III of the SEBI Listing Regulations
read along with SEBI Master Circular no. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated
January 30, 2026 is enclosed as ‘Annexure-II’.
4. Capex of Rs. 170 Crores for manufacturing of Super Speciality Carbon Black.
The Board has approved a capex for manufacturing Super Speciality Carbon Black (SSCB) with
production capacity of 6,000 MTPA with an estimated project cost of Rs 170 crores to be funded
primarily through internal accruals. However, the overall capacity of Carbon Black of 2,50,000
MTPA (out of which 1,20,000 MTPA is commodity grade and 1,30,000 MTPA is Speciality Carbon
Black) remains unchanged as 6000 MTPA will be converted from our existing carbon black stream.
This facility will enable the Company to produce superior & different morphology & high purity
Carbon Black at its existing carbon black facility at Mahistikry and is expected to be commissioned
by Q4FY28.
This Super Speciality Carbon Black will deliver significantly higher value realization across niche
applications such as Engineering plastics & conductive applications, Fiber Industry growth &
premiumisation, EV & energy storage ecosystem expansion, etc., thereby strengthening the
Company’s leadership in the highly specialized market.
