I would like to thank you for taking the time to join us today from wherever you are and for your continued trust in our Company. I hope you and your families are healthy and staying safe. On behalf of the Board of Directors and my colleagues, I sincerely thank you for your presence. Economic Overview The global economy remained resilient during FY 2025–26 despite geopolitical tensions, changing trade policies, inflationary pressures and supply-chain disruptions. While global growth remained moderate, businesses continued to adapt through supply-chain diversification, technology and greater operational efficiency. The logistics and air-cargo sectors continued to benefit from demand in e-commerce, pharmaceuticals, electronics and other time-sensitive and high-value segments, although volatility in fuel prices, freight rates and international trade routes remained a challenge. Against this backdrop, India continued to demonstrate strong and broad-based economic growth, with real GDP growing by approximately 7.7% in FY 2025–26, supported by domestic demand, infrastructure investment, manufacturing and services. The expansion of India's logistics infrastructure, e-commerce and integration with global supply chains presents significant opportunities for the sector. We remain confident that our focus on operational efficiency, technology, customer service and prudent cost management will enable the Company to navigate challenges effectively and capitalise on the opportunities arising from India's long-term growth. Company Performance Your Company’s air cargo business registered satisfactory growth during FY 2025–26, despite the challenges prevailing in the business environment. The Company has taken necessary measures to mitigate these challenges and remains confident of improving the business in the coming year. The Company will continue to focus on its Air cargo and Surface Transport businesses, while also evaluating appropriate utilisation of its properties. During the year, the Company also ventured into the surface transportation business through its newly formed subsidiary, Rajpat Logistics Private Limited. The outlook for the business remains dynamic, and the Company will continue to adapt its operations and services to changing market and customer requirements. Financials Turning to the financial performance of your Company:  Income from Operations increased to ₹357.14 crore in FY 2025–26 from ₹342.69 crore in FY 2024–25.  Profit After Tax (PAT) increased to ₹9.60 crore, compared with ₹7.60 crore in the previous year.  Total Comprehensive Income increased to ₹9.85 crore, compared with ₹6.77 crore in FY 2024–25.  Profit Before Tax increased to ₹10.31 crore from ₹7.67 crore.  Net Worth stood at ₹123.51 crore, compared with ₹121.66 crore in the previous year.  Basic EPS increased to ₹1.38, compared with the earlier reported ₹1.13, and Diluted EPS stood at ₹1.38.  The Company's Debt-Equity Ratio improved to 0.05 from 0.11, reflecting the reduction in borrowings through internal accruals. The future operations of the Company will depend on the evolving dynamics of the air cargo industry, with new entrants in both airlines and surface transport. We are planning to expand into Surface Transportation in a big scale to capitalize on this growth. Industry Highlights  India’s air-cargo traffic reached 3.96 million tonnes in FY 2025–26, growing 6.2% year- on-year.  Domestic air freight grew 7.4%, while international freight grew 5.4%.  E-commerce, pharmaceuticals, electronics and perishables continue to drive air-cargo demand.  Government initiatives such as PM GatiShakti, National Logistics Policy and UDAN are strengthening logistics infrastructure.  Digitalisation, AI, automation and predictive analytics are transforming logistics operations.  Demand for Grade-A warehousing and technology-enabled storage continues to increase.  India's improving manufacturing, exports and e-commerce are supporting logistics- sector growth.  India's Logistics Performance Index ranking improved to 38th in 2023, from 54th in 2014.  Fuel-price volatility, geopolitical tensions and capacity constraints remain key industry challenges.  The outlook remains positive, supported by infrastructure investment, supply-chain diversification and growing logistics demand. Operational Focus Your Company will continue to focus on its air cargo and surface transport businesses. The air cargo business registered satisfactory growth during FY 2025–26, and the Company continues to take necessary measures to mitigate the challenges faced by the business. Given the dynamic nature of the market and changing customer requirements, the Company will continue to review and adapt its operations and services. The Company is also evaluating the appropriate utilisation of its properties to create further opportunities. During the year, the Company strengthened its presence in the logistics sector through the formation of Rajpat Logistics Private Limited, a partly owned subsidiary focused on surface transportation. The Company also remains focused on reducing its finance costs, having repaid loans from various banks and continuing discussions with lenders for further reduction in interest costs. The Company has maintained regular repayment of its banking facilities, with no overdue instalments as at the reporting date. Dividend I now turn to the dividend proposal for FY 2025–26. The Board of Directors has recommended a final dividend of ₹0.20 per equity share of ₹10 each, representing 2% of the equity share capital, subject to approval by the Members at the ensuing Annual General Meeting. The dividend recommendation has been made after considering the Company's long-term growth objectives and the need for conservation of resources. The Board had initially recommended a dividend of ₹0.40 per share (4%) on 12 May 2026, which was subsequently revised to ₹0.20 per share (2%) on 24 August 2026, after considering the Company's financial position, cash flows and other relevant factors Acknowledgments All your Directors are highly accomplished in their respective fields.
