("T-NET"). In this respect, following are submitted: (a) AES India was a joint venture between SMISL and T-NET. SMISL along with its nominees holds 26% equity shares in AES India. The Company holds 100% equity shares of SMISL. Accordingly, effective capital of SAMIL in AES India is 26%. (b) T-NET is engaged in the business of providing support services to project owners responsible for the development of social infrastructure such as roads, bridges, and tunnels, which enable people to live safely. In addition, T-NET is engaged in production facility-related businesses for industries including automotive, plant engineering and industrial machinery, utilizing a variety of technologies such as mechanical equipment, material handling systems and IT systems. (c) AES India is engaged in the business of providing EPC (Engineering, Procurement and Construction) services for Automotive, Rails, Agriculture & Construction Equipment, White Goods and other general manufacturing Industries. The Board of Directors of AES India in their meeting held on September 24, 2026 had approved to transfer of shares held by SMISL (along with its nominees) to T-NET JAPAN and its nominees. According, the aforesaid transaction has now completed on September 24, 2026 upon completion of conditions precedent.
