The addendum to the Valuation Report issued by Mr. Suman Kumar Verma (Registered Valuer - securities or Financial Assets) having registered No. IBBI/RV10512019112376, and the addendum to the Fairness Opinion issued by Mark Corporate Advisors Private Limited, SEBl-registered Merchant Banker, setting out the aforesaid revision, were recommended by the Audit Committee and the Committee of Independent Directors and thereafter placed before the Board of Directors for its consideration and approval. The Scheme of Merger by Absorption is subject to approval of the BSE Limited, Securities and Exchange Board of India ("SEBI"), National Company Law Tribunal ("NCLT") and such other competent authorities, as may be applicable.
