(IST) through Video Conferencing (“VC”)/Other Audio-Visual Means (“OAVM”), in accordance with the applicable provisions of the Companies Act, 2013, the Rules made thereunder and the circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India. Attendance: The following Directors and Key Managerial Personnel attended the Meeting through VC/OAVM: 1. Mr. Arun Kumar Jain Managing Director and Chairman of the Meeting 2. Mr. Anoop Agrawal Whole Time Director and Chief Financial Officer 3. Mr. Riddharth Jain Director and Chief Executive Officer 4. Mr. Vinayak Parkhi Independent Director and Chairman of the Audit Committee 5. Mrs. Ritika Agrawal Independent Director and Chairperson of the Nomination and Remuneration Committee 6. Mr. Ujjawal Kumar Ghosh Independent Director and Chairman of the Stakeholders Relationship Committee and Corporate Social Responsibility Committee 7. Ms. Palak Rathore Company Secretary and Compliance Officer 8. Mr. Saurabh Mittal Joint Chief Financial Officer The Statutory Auditor, Secretarial Auditor and Scrutinizer were also present at the Meeting. Ms. Palak Rathore, Company Secretary & Compliance Officer, welcomed the Members to the Meeting and briefed them regarding the conduct of the Meeting through VC/OAVM and the general instructions relating to participation and e-voting. The Company Secretary welcomed the Directors and requested them to introduce themselves to the Members. The Directors, including the Executive Directors and Independent Directors, introduced themselves. The presence of the Statutory Auditor, Secretarial Auditor, Scrutinizer and Key Managerial Personnel was also taken on record. The Company Secretary, on requisite quorum being present, called the Meeting to order. All the Directors of the Company were present at the Meeting through VC from their respective locations. Mr. Arun Kumar Jain, Managing Director and Chairman of the Meeting, welcomed the Members and addressed them on the performance of the Company during the financial year 2025-26 and the key developments during the year, including the growth in the order book, successful listing of the Company, progress in the EPC and Tollway Collection businesses and the Company’s future outlook. Thereafter, Mr. Anoop Agrawal, Whole Time Director and Chief Financial Officer, briefed the Members on the financial and operational performance of the Company for FY 2025-26, including the growth in total income, EBITDA and Profit After Tax, improvement in net worth and debt-to-equity ratio, project execution and the Company’s priorities for FY 2026-27. The Company Secretary thereafter informed the Members regarding the remote e-voting facility provided to the Members, the cut-off date and the facility for e-voting during the AGM for Members who had not cast their votes HIGHWAY INFRASTRUCTURE LIMITED CIN: L42909MP2006PLC018398 REG. It was further informed that Mr. Manish Maheshwari, Practicing Company Secretary, had been appointed as the Scrutinizer for scrutinizing the e-voting process in a fair and transparent manner. With the consent of the Members, the Notice convening the AGM was taken as read. The Statutory Auditors’ Report and Secretarial Audit Report for the financial year 2025-26 were also taken as read, as they did not contain any qualification, reservation, adverse remark or disclaimer, as applicable. The following business items, as contained in the Notice of the AGM, were placed before the Members for consideration: Sr. Resolution Types of No. Resolution 1. To review, consider and adopt Ordinary a. the Audited Standalone Financial Statements of the Company for the financial year ended March 31, 2026, together with the Reports of the Board of Directors and Auditors thereon; b. the Audited Consolidated Financial Statements of the Company for the financial year ended March 31, 2026, together with the Reports of the Auditors thereon. 2. To appoint a director in place of Mr. Anoop Agrawal (DIN: 00006120), who is Ordinary liable to retire by rotation in terms of section 152(6) of Companies Act, 2013, being eligible and offers himself for reappointment. 3. To appoint M/s. Ritesh Gupta & Co. Practicing Company Secretaries as Secretarial Ordinary Auditor of the Company for a first term of five consecutive years. The Members who had registered themselves as Speaker Shareholders were thereafter invited to express their views and raise their queries. The questions raised by the Members were addressed by the Company. The Members who had not cast their votes through remote e-voting were requested to cast their votes through the e-voting facility available during the AGM. Thereafter, Mr. Anoop Agrawal thanked the shareholders, auditors, stock exchanges, regulators, banks, dealers, customers, employees and other stakeholders for their continued support and cooperation. There being no other business to transact, Ms. Palak Rathore, Company Secretary and Compliance Officer, with the permission of the Chairman, declared the Meeting concluded and thanked all the Members for their participation. The results of the remote e-voting and e-voting conducted during the AGM shall be declared upon receipt of the Scrutinizer’s Report and communicated to the Stock Exchanges and uploaded on the website of the Company, in accordance with the applicable provisions.
