Dear Sir,
The 35th Annual General Meeting (AGM) of the Members of the DCM Shriram
Industries Limited (“the Company”) was held on Wednesday, the 15th July, 2026 at
11.30 AM through Video Conference in compliance with the applicable provisions of
the Companies Act, 2013 read with various general circulars issued by the Ministry of
Corporate Affairs, regarding holding of general meetings. The following directors were
present and participated in the meeting through Video Conference:

The meeting was attended by 136 members/ representatives of Corporate Members
through Video Conference.
Shri S.B. Mathur, Non-Executive Chairman of the Board, chaired the meeting.
The requisite quorum being present, the Chairman called the meeting to order and
welcomed the shareholders.
Chairman then introduced the directors, representatives of Statutory Auditors,
Secretarial Auditors, Scrutinizer and Sr. Management Personnel of the Company.
The Chairman directed the Company Secretary to explain the procedural part of the
meeting.
Shri Y.D. Gupta, Company Secretary, explained the procedural part of the meeting
and informed that those members who could not avail the remote e-voting facility can
vote through instapoll at the end of the meeting. He further informed that the minutes
of the last AGM were available on the Company website.
The Chairman addressed the meeting and stated that despite geo-political
uncertainties caused by conflicts in various parts of the world, the Company could post
satisfactory results. He also stated that considering the need for conserving resources
to meet ongoing liabilities towards debt servicing, capital expenditure, etc. and the
uncertainties in the economic front due to geo-political developments, the Board of
Directors has recommended a final dividend of Re.0.4 per share (20%) for the financial
year 2025-26.
The Chairman then invited MD & CEO to address the shareholders.
Shri Madhav B. Shriram, Managing Director & CEO, addressed the shareholders and
briefed them about the operations, and about future outlook. The Managing Director
had also taken the shareholders through the financial and operational results for the
year 2025-26.
He briefly touched upon the domestic and world economic situation and the impact of
the geo-political developments on the economy and the Company.
Shri Madhav B. Shriram thanked the directors for their valuable guidance and
contributions. He also thanked the customers, bankers and business associates for
their continued trust in the Company. MD expressed sincere gratitude to the
employees for their dedication and commitment towards the organization.
On conclusion of the address by the MD, as directed by the Chairman, the Company
Secretary explained the resolutions before the meeting as follows:
Ordinary Business
1. Adoption of Financial Statements for the year ended 31st March 2026 together with the
Report of the Auditors and Board of Directors thereon.
2. Declaration of dividend of Re.0.40 per equity share of Rs.2 each (20%) for the financial
year 2025-26.
3. Reappointment of Shri Sunil Behari Mathur (DIN: 00013239), Director liable to retire by
rotation and being eligible, offers himself for re-appointment.
4. Reappointment of Smt. V Kavitha Dutt (DIN: 00139274), Director liable to retire by rotation
and being eligible, offers herself for re-appointment.
Special Business
5. Ratification of Remuneration to Cost Auditors. (Ordinary Resolution).
6. Appointment of Shri Sanjay Rastogi (DIN: 11712916) as Director & Chief Operating Officer
(DSW) (Ordinary Resolution)
After this, the Chairman invited the shareholders, who had registered themselves to
speak at the meeting and informed that they would be called upon to speak by the
Moderator one by one and the Managing Director would reply to their queries/
clarifications, once the speakers finish their questions.
40 shareholders registered themselves as speakers and among them raised various
queries pertaining to the Company’s operations, financial performance, and future
plans of the Company.
Shri Madhav B. Shriram replied to the queries and provided clarifications and informed
that any complaint regarding service to the shareholders or transfer of shares, etc. can
be emailed to the Company, which will be responded promptly. He also mentioned
that if any of the query is left out to be replied, the shareholder may email to the
Company so that the same can be replied to.
The Chairman then informed the members that the combined results of the remote e-
voting and instapoll will be declared within 2 working days from the closure of the
instapoll and shall be placed on the websites of the Company, BSE Ltd. and National
Stock Exchange Ltd.
There being no other business, the Chairman declared the meeting as closed and
informed that the instapoll will remain open for 15 minutes to enable Members to e-
vote. The meeting closed at 01.05 P.M.
This report is being submitted as required under Schedule III A (13) read with
Regulation 30 of SEBI (LODR) Regulations, 2015.
