Regulations, 2015 - Adoption of New Set of Articles of Association of the Company
Dear Sir/Madam,
Pursuant to Regulation 30 read with Para A(14) of Part A of Schedule III of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations"), we hereby inform you that the
Members of the Company at the 19th Annual General Meeting ("AGM") held on Thursday, 24th September, 2026,
which commenced at 12:00 P.M. and concluded at 12:35 P.M., have approved, by way of Special Resolution, the
adoption of a new set of Articles of Association ("AOA") of the Company in substitution for and to the exclusion
of the existing Articles of Association of the Company.
The new set of Articles of Association has been adopted, inter alia, to align the Articles with the prevailing
provisions of the Companies Act, 2013 and the rules made thereunder, the Securities and Exchange Board of
India Act, 1992, the Securities Contracts (Regulation) Act, 1956, the Depositories Act, 1996, the SEBI Listing
Regulations, applicable Secretarial Standards and other applicable statutory and regulatory requirements, as
amended from time to time.
The brief details of the amendments/adoption of the new set of Articles of Association, as required under the
SEBI Listing Regulations, are enclosed herewith as Annexure I.

Brief details of adoption of the new set of Articles of Association of HAS Lifestyle Limited:
Sr. No Particulars Details
1. Nature of amendment Adoption of a new set of Articles of Association of the Company in
substitution for and to the exclusion of the existing Articles of Association
of the Company.
2. Approval of Members The Members of the Company approved the adoption of the new set of
Articles of Association by way of Special Resolution at the 19th Annual
General Meeting held on Thursday, 24th September, 2026.
3. Brief details / rationale for In view of subsequent changes in the statutory and regulatory framework
adoption of new AOA applicable to listed companies, the Articles have been comprehensively
reviewed and updated. The new Articles have been aligned with the
Companies Act, 2013 and rules made thereunder, SEBI laws and
regulations, the Depositories Act, 1996, applicable Secretarial Standards
and other applicable statutory and regulatory requirements, as amended
from time to time.
4. Salient changes in the new AOA The new Articles, inter alia: (a) introduce a comprehensive definition of
“Applicable Law” covering applicable company law, securities laws, SEBI
regulations, Secretarial Standards and requirements of stock exchanges,
depositories and other authorities; (b) incorporate specific provisions
relating to depositories, beneficial ownership and
dematerialisation/rematerialisation of securities; (c) update provisions
relating to share certificates, preference shares, issue, allotment,
transfer, transmission and other dealings in securities in line with
applicable law; (d) update the provisions relating to appointment and
tenure of Additional, Alternate and Nominee Directors and filling of
casual vacancies; (e) update the provisions relating to resolutions by
circulation and other Board governance matters; (f) revise the provisions
relating to the common seal by making its use optional and updating the
manner of its custody and affixation; (g) incorporate detailed provisions
relating to borrowing powers and creation of security; (h) incorporate
specific provisions relating to operation of bank accounts and statutory
audit; and (i) incorporate provisions relating to confidentiality/secrecy
and other administrative matters in line with applicable law.
5. Effective Date 24th September, 2026, pursuant to approval of the Members at the 19th
Annual General Meeting of the Company.
