SUMMARY OF PROCEEDINGS OF THE 50TH ANNUAL GENERAL MEETING
The 50th Annual General Meeting (“AGM”) of the Members of Pennar Industries Limited (“the
Company”) was convened at 11:00 A.M. (IST) on Thursday, 24th September, 2026, through Video
Conferencing / Other Audio-Visual Means (“VC/OAVM”) in accordance with the applicable
provisions of the Companies Act, 2013 and the rules made thereunder and the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015.
The Company Secretary welcomed the Members to the meeting and explained the procedural and
technical aspects relating to participation in the AGM through VC/OAVM.
Mr. RVS Ramakrishna chaired the meeting and welcomed the Members to the 50th AGM of the
Company. The requisite quorum was present, and the Chairman called the meeting to order. The
Members were informed that the Registers and other documents as required under the Companies Act,
2013 were made available electronically during the AGM for inspection by the Members upon
request.
The Chairman introduced the Directors, Chief Financial Officer, Company Secretary, Statutory
Auditors, Internal Auditors, Secretarial Auditor and Scrutiniser who had joined the AGM through
VC/OAVM from their respective locations.
With the consent of the Members present, the Chairman stated that the Statutory Auditors’ Report and
the Secretarial Audit Report were taken as read, as there were no qualifications, observations or
adverse remarks in the respective reports.
Mr. V. S. Parthasarathy, Chairman of the Audit Committee; Mr. Chandrasekhar Sripada, Chairman of
the Nomination and Remuneration Committee and CSR Committee; Mr. RVS Ramakrishna,
Chairman of the Stakeholders Relationship Committee; and Mr. Aditya Rao, Vice-Chairman and
Managing Director of the Company, attended the meeting. The requisite quorum was present
throughout the meeting.
Chairman’s Speech and Business Performance:
The Chairman’s Speech was delivered to the Members. Thereafter, Mr. Aditya Rao, Vice-Chairman
and Managing Director of the Company, briefed the Members on the performance of the Company
during the financial year 2025-26 and provided an overview of the Company’s business operations
and performance during the year under review.
The Chairman thereafter invited the Members who had registered themselves as speakers to speak,
ask questions and express their views. The Members who had registered as speakers expressed their
views and raised certain questions. Mr. Aditya Rao, Vice-Chairman and Managing Director,
responded to the queries and provided the necessary clarifications to the Members.
Remote E-voting and E-voting during the AGM:
The Chairman informed the Members that, in accordance with the provisions of the Companies Act,
2013 and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the facility
of remote e-voting through KFin Technologies Limited (“KFintech”) was provided to the Members to
cast their votes on the resolutions set out in the Notice of the 50th AGM.
The remote e-voting facility was available from 9:00 A.M. on 21st September, 2026 to 5:00 P.M. on
23rd September, 2026. The Members whose names appeared in the Register of Members / list of
beneficial owners as on the cut-off date, i.e., 17th September, 2026, were eligible to cast their votes.

The e-voting facility was also made available during the AGM. Members who had not cast their votes
through remote e-voting were entitled to cast their votes during the AGM and for a further period of
15 minutes after the conclusion of the AGM. Members who had already cast their votes through
remote e-voting were entitled to participate in the AGM, but were not entitled to vote again.
Mr. Subhash Kishan Kandrapu, Practising Company Secretary, was appointed as the Scrutiniser for
the entire e-voting process.
Business Transacted at the AGM:
The following items of business, as set out in the Notice of the 50th AGM, were transacted at the
meeting:
ORDINARY BUSINESS:
1. To receive, consider and adopt the audited financial statements, including the audited consolidated
financial statements, of the Company for the financial year ended 31st March, 2026, together with the
Reports of the Board of Directors and the Auditors thereon.
2. To appoint a Director in place of Mr. Eric James Brown (DIN: 07670880), who retires by rotation
and, being eligible, offers himself for re-appointment as a Director.
SPECIAL BUSINESS:
3. To ratify the remuneration payable to M/s. Kandikonda & Associates, Cost Accountants, for the
financial year ending 31st March, 2027.
Conclusion of the Meeting:
The Chairman authorised Mr. Aditya Rao, Vice-Chairman and Managing Director, or Mr. Mirza
Mohammed Ali Baig, Company Secretary, to announce the results of the voting at the meeting,
together with the Scrutiniser’s Report, within 48 hours of the conclusion of the AGM and to place the
same on the website of the Company and KFintech and communicate the same to the Stock
Exchanges in accordance with the applicable provisions.
Thereafter, the Chairman concluded the meeting with a vote of thanks to all the Members, Directors,
Auditors and other participants who had attended the meeting.
The meeting concluded at 11:49 A.M. (IST).
