The Company was informed by the Partner that the compromise leading to the incident occurred at the Partner's end, resulting in an unauthorised and fraudulent transfer of funds from the said joint account to multiple beneficiary accounts. Both the Company and the Partner are victims of this fraud, which was perpetrated by external unauthorised parties. The Company's proportionate share of the amount involved is approximately INR 2.94 Crores (subject to final reconciliation between the parties), and as this exceeds the materiality threshold prescribed under Regulation 30(4) of the LODR Regulations, this disclosure is accordingly being made. Upon detection, the Partner promptly froze the affected account, filed complaints with the Cybercrime Cell and the concerned bank's fraud unit, initiated recovery and reversal efforts with the banking partners involved, and commenced an internal review to strengthen relevant controls and prevent recurrence. The Partner has confirmed that it shall bear the entire loss arising from the incident and has undertaken to reimburse the Company in full for the amount attributable to it, and such reimbursement is currently pending. The Company is closely monitoring the matter and coordinating with the Partner and relevant banking/law enforcement authorities on recovery and reimbursement, and shall make further disclosures as may be required under applicable law upon receipt of the reimbursement and/or any other material development.
