Proceedings of 41st Annual General Meeting of Bliss GVS Pharma Limited
The 41st Annual General Meeting (“the Meeting or 41st AGM”) of the Members of Bliss GVS
Pharma Limited (“the Company”) was held on Wednesday, July 15, 2026, through Video
Conferencing (“VC”)/Other Audio-Visual Means (“OAVM”) pursuant to General Circular No.
14/2020 dated April 08, 2020 and subsequent circulars issued in this regard with the latest one
being General Circular No. 03/2025 dated September 22, 2025 (collectively referred to as ‘MCA
Circulars’), SEBI Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 dated May 12, 2020 and
subsequent circulars issued in this regard and latest one being SEBI Circular No.
SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024, issued by the SEBI
(collectively ‘SEBI Circulars’), and in compliance with the provisions of the Companies Act, 2013
(“Act”) and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing
Regulations”). The meeting was scheduled and commenced at 11.00 a.m.
Mr. Nandkumar Chodankar, Chairman of the Board of Directors, chaired the proceedings of the
41st AGM of the Company.
Directors and KMPs in attendance:
Mr. Nandkumar Chodankar - Chairman & Independent Director, Chairman of the Stakeholder
Relationship Committee & Corporate Social Responsibility Committee, Mr. Narsimha Shibroor
Kamath - Managing Director, Mr. Deepak Sawant - Chief Financial Officer and Ms. Aditi Bhatt –
Company Secretary had joined the meeting through VC from the Registered Office of the
Company.
Mr. Deepak Rameshchandra Shah, Independent Director & Chairman of the Audit Committee
attended meeting through VC while travelling. Mrs. Shilpa Bhatia, Independent Woman Director
& Chairperson of Risk Management Committee and Mr. Santosh Parab – Non-Executive Non-
Independent Director had joined the meeting through VC from their respective location in
Mumbai. Mr. Vijayanarayanan Mahadevan – Independent Director & Chairman of Nomination
and Remuneration Committee, had joined the meeting through VC from Bangalore.
Other Representatives:
Mr. Vijay Yadav, Partner of AVS & Associates, Practicing Company Secretary, Secretarial Auditor
of the Company & Scrutinizer of 41st AGM, joined the meeting through VC from the registered
office of the Company.
Mr. Jamshed Udwadia, Partner of M/s. Kalyaniwalla & Mistry LLP, Statutory Auditor of the
Company, attended the meeting through VC from his respective location.
Mr. Hiren Upadhyay, Partner of BDO India LLP, Internal Auditor of the Company attended the
meeting through VC from his respective location.
Members Present:
72 Members attended the meeting through VC, including those present in person from the
Registered Office of the Company.
Proceedings in Brief:
Mr. Nandkumar Chodanakar – Chairman & Independent Director of the Company chaired the
Meeting. He welcomed all the Directors and Shareholders of the Company to the 41st AGM. He
then introduced the Directors on the Board and other representatives one by one. The requisite
quorum being present, the Chairman called the Meeting to order.
Thereafter, the Chairman requested Ms. Aditi Bhatt, Company Secretary of the Company, to
explain the procedural and technical aspects to the shareholders for attending the meeting. She
informed the members that the Company had made feasible efforts to enable members to
participate through video conference and vote at the 41st AGM. She also explained the procedural
and technical aspects of the 41st AGM to the members.
The Company Secretary further informed that the Register of Directors & KMPs (including their
shareholding) maintained under Section 170 and the Register of Contracts maintained under
Section 189 of the Companies Act, 2013, are made available electronically for inspection by the
Members during the 41st AGM. Members seeking to inspect such documents can send their
request to the official email ID.
Afterwards, the company secretary requested the Chairman to address the shareholders.
The Chairman addressed the shareholders, highlighting key aspects of the company's
performance and financial position, and the results reflect the strength of our business,
disciplined execution, and the trust our customers and partners continue to place in us. He also
stated that the Company has strengthened its presence across regulated and emerging markets,
while continuing to invest in innovation, manufacturing excellence, and quality systems. These
initiatives have enhanced our capabilities and reinforced our position for sustainable long-term
growth. The Chairman also announced the final dividend rate declared by the Company at this
41st AGM. After that, he requested Mr Narsimha Shibroor Kamath, Managing Director of the
Company, to deliver his speech.
Mr. Narsimha Shibroor Kamath, the Managing Director, delivered a speech highlighting the
Company's business performance. He highlighted the strengthening of manufacturing
capabilities, digital transformation initiatives, expansion in key regulated markets,
commencement of operations in Kenya, receipt of the WHO Inspection Closure Report for the
manufacturing facility, continued focus on sustainability with 55–60% of energy requirements
met through renewable sources, and the Company's commitment to innovation, corporate
governance, and responsible growth. After his remarks, Mr. Kamath invited Mr. Nandkumar
Chodankar, the Chairman, to continue with the proceedings.
The Notice convening the 41st AGM as a part of the Annual Report for the Financial Year 2025-
2026 and the report of Statutory Auditors (being non-qualified) were taken as read. The Chairman
also informed the members that there were no observations by the Secretarial Auditors and have
been provided in the Board Report of the Company. The Secretarial Auditors' Report was taken
as read.
The following items of business as set out in the Notice convening the 41st AGM were
recommended by the Chairman for consideration, approval & adoption by the shareholders.
Ordinary Business:
1. Consideration and Adoption of the Audited Standalone Financial Statements for the
financial year ended March 31, 2026, together with the Reports of the Board of Directors
and the Auditors thereon and the Audited Consolidated Financial Statements for the
financial year ended March 31, 2026, and the reports of auditors thereon by way of
Ordinary Resolution;
2. Declaration of Final dividend of 100% i.e., Re. 1.00 per equity share on the face value of
Re. 1/- each for the Financial Year ended March 31, 2026, by way of Ordinary Resolution;
3. Re-Appointment of Mr. Narsimha Shibroor Kamath (DIN: 00140593) as a Director of the
Company, who retires by rotation, and being eligible, offers himself for re-appointment
by way of Ordinary Resolution.
The Chairman then requested members to raise their queries on the agenda items as set out in the
Notice convening the 41st AGM of the Company. Several shareholder speakers spoke/raised
queries on the financial statement, business operations and other relevant matters.
