STRATEGIC PARTNERSHIP STRENGTHENS BOTH COMPANIES' FOOTHOLD IN
INDIA'S GROWING MICE SECTOR
Exhicon Events Media Solutions Limited, a leading exhibitions, events and media infrastructure company
listed on BSE announced today that it has executed a Joint Venture Agreement ("JVA") with India
Exposition Mart Limited ("IEML") for its subsidiary, Exhicon Mohali Convention Centre Private
Limited ("EMCCPL"), which is developing the Mohali Convention & Exhibition Centre on a PPP model
with Government of Punjab.
Deal Highlights
Under the terms of the agreement, Exhicon will transfer 35% of Exhicon Mohali Convention Centre
Pvt. Ltd.’s paid-up equity share capital to IEML for a cash consideration.
Exhicon will retain a 65% stake, with Exhicon Mohali Convention Centre Pvt Ltd, continuing as its
subsidiary.
The JVA was approved by Exhicon's Corporate Restructuring and Investment Committee and
executed on September 21, 2026.
About the Project
The Mohali Convention & Exhibition Centre is being developed at IT City, Sector 83, Mohali, Punjab,
under a Public-Private Partnership (PPP) model with the Government of Punjab. The phase 1 of the project
carries a projected cost of ₹75 crore and will create a modern, large-scale venue to North India's exhibition
and convention infrastructure — a region currently underserved by world-class MICE facilities.
Benefits for Exhicon Shareholders
Capital-efficient growth: Exhicon brings in a strategic partner to co-fund and de-risk a large-scale
infrastructure project, reducing the capital burden on the parent company while retaining majority
(65%) ownership and control.
Access to sectoral expertise: IEML is a established name in India's exhibition industry, and its
participation brings deep operational and market knowledge to the Mohali project, improving its
prospects for successful execution and commercial viability.
Retained governance: Exhicon continues to control the board, nominating two of three directors,
ensuring continuity of strategic direction.
Portfolio expansion at lower risk: The venture extends Exhicon's convention-centre portfolio into
North India without diluting control of its core listed business, as the JV structure and any change in
EMCCPL's status has no bearing on the management of the parent company.

Strategic entry into North India: The partnership gives IEML a direct stake in a landmark PPP
convention centre project in the fast-growing Punjab/Chandigarh tri-city market, extending its
presence beyond its existing venues.
Aligned incentives with an experienced operator: Partnering with Exhicon — which retains
majority ownership and operational responsibility — allows IEML to participate in the upside of the
project while leveraging Exhicon's existing execution capability and government relationship on the
PPP.
Governance safeguards: IEML secures board representation and affirmative-vote rights over
specified matters, protecting its interests as a minority partner.
Future participation rights: IEML retains proportional rights to contribute to future capital
requirements, preserving its ownership percentage as the project scales.
