We hereby inform you that the 16th Annual General Meeting (the "Meeting") of the Company was
held today, i.e. Thursday, September 24, 2026, through Video Conference / Other Audio-Visual
Means to transact the businesses as stated in the Notice dated August 14, 2026, convening the
Meeting.
The Meeting commenced at 11.00 a.m. (IST) and concluded at 12:05 p.m. (IST) (including the time
allowed for e-voting at the Meeting).
In this regard, please find enclosed the Summary of the proceedings of the Meeting in Annexure A,
pursuant to Regulation 30 read with Para A, Part A of Schedule III of the Listing Regulations.
The e-voting results (remote e-voting and e-voting during the Meeting) along with the Consolidated
Scrutiniser’s Report will be intimated separately.
You are requested to take the same on record.

Summary of the proceedings of the 16th Annual General Meeting
A. Date, time and venue of the Annual General Meeting
The 16th Annual General Meeting (“Meeting”) of Borosil Limited (the “Company”) was held today,
i.e., Thursday, September 24, 2026, through Video Conference (“VC”) / Other Audio-Visual Means
(“OAVM”) in compliance with the applicable circulars issued by the Ministry of Corporate Affairs
(“MCA”), provisions of the Companies Act, 2013 (the "Act") and the Rules framed thereunder and
the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015. The Meeting commenced at 11:00 a.m. (IST) and concluded at 12:05 p.m. (IST)
[including the time allowed for e-voting at the Meeting].
B. Summary of proceedings
1. The Meeting was chaired by Mr. Pradeep Kumar Kheruka, Chairman of the Company. He
welcomed the shareholders to the Meeting and informed them that the Meeting was being held
through VC / OAVM.
2. The requisite quorum being present, the Chairman called the Meeting to order.
3. The Chairman addressed the shareholders, and they were briefed on the Company's business
affairs, including performance highlights for FY 2025-26 and other related matters.
4. The Company Secretary informed that the remote e-voting commenced at 09:00 a.m. (IST) on
Monday, September 21, 2026 and concluded at 5:00 p.m. (IST) on Wednesday, September 23,
2026. The e-voting facility at the Meeting was also made available to the shareholders who
participated in the Meeting and had not cast their votes through remote e-voting.
5. The Chairman also informed the shareholders that Mr. Dhrumil M. Shah, holding Certificate of
Practice No. 8978 of M/s. Dhrumil M. Shah & Co. LLP, Practicing Company Secretaries, was
appointed as the scrutiniser to scrutinize the e-voting process (i.e. remote e-voting and e-voting
during the Meeting) in a fair and transparent manner.
6. The shareholders were briefed on the following resolutions contained in the Notice of the
Meeting dated August 14, 2026:
Ordinary Business:
i. To consider and adopt a) the audited standalone financial statement of the Company for
the financial year ended March 31, 2026, the report of the Board of Directors and
Statutory Auditor thereon; and b) the audited consolidated financial statement of the
Company for the financial year ended March 31, 2026 and report of Statutory Auditor
thereon (by way of ordinary resolutions).
ii. To consider the re-appointment of Mr. Rajesh Kumar Chaudhary (DIN: 07425111), who
retires by rotation and, being eligible, offers himself for re-appointment (by way of an
ordinary resolution).
iii. To approve the re-appointment of M/s. Chaturvedi & Shah LLP, Chartered Accountants,
as the Statutory Auditor of the Company (by way of an ordinary resolution).
Special Business:
i. To approve Material Related Party Transactions with Borosil Scientific Limited (by way
of an ordinary resolution).
ii. To approve the continuation of the terms of remuneration of Mr. Shreevar Kheruka,
Managing Director (by way of a special resolution).
iii. To approve raising of funds through further issue(s) of securities up to Rs. 250 crores
(by way of a special resolution).
iv. To approve the amendments to ‘Borosil Limited - Employee Stock Option Scheme 2020’
(by way of a special resolution).
v. To approve secondary acquisition of shares through trust route for the implementation
of ‘Borosil Limited - Employee Stock Option Scheme 2020’ (by way of a special
resolution).
vi. To approve provision of money by the Company for purchase of its own shares by the
trust under the ‘Borosil Limited - Employee Stock Option Scheme 2020’ (by way of a
special resolution).
7. During the Q&A session, the speaker shareholders shared their views and raised certain
questions regarding the Company’s business and performance, which were duly addressed to
their satisfaction.
8. The facility of e-voting was thereafter kept open for another 15 minutes for the shareholders to
exercise their voting rights. The Meeting concluded after expiry of the said 15 minutes.
