Mr. Sumeet Mehra, Chaired the meeting and then commence with the meeting proceeding at 10.01 a.m. (IST) by welcoming the Directors, Auditors, Shareholders and other invitees by delivering the attached speech. The following items of business, as per notice of the 56th Annual General Meeting of the Company were transacted at the meeting: 1. Adoption of the Audited Financial Statements of the Company for the Financial Year ended March 31, 2026 and the Reports of the Board of Directors and Auditors thereon; 2. Re-appointment of Mrs. Nameeta S. Mehra (DIN 01874270) as a Director liable to retire by rotation; The Chairman then thanked all the members for taking their time out to join the 56th AGM of the Company. He also thanked all Directors, Auditors, Shareholders and other invitees for attending the meeting. The Chairman announced that the voting on the CDSL platform will continue to be available for the next 15 minutes after the conclusion of the meeting and the members who have not casted their vote can exercise their vote. As the quorum was present for the meeting, as confirmed by the Registrar & Transfer Agent (RTA), who acted as the Host for the meeting, she informed the Members that the Statutory Auditors of the Company had been granted an exemption from attending the 56th Annual General Meeting. She requested the Chairman to start with the proceedings of the meeting. THE CHAIRMAN’S SPEECH TO THE SHAREHOLDERS AT THE 56TH ANNUAL GENERAL MEETING TO BE HELD THROUGH VIDEO CONFERENCING (VC) / OTHER AUDIO VISUAL MEANS (OAVM) ON THURSDAY, SEPTEMBER 24, 2026 AT 10:00 AM Ladies and Gentlemen: It gave him immense pleasure to extend a very warm welcome to all the Members of the Company who had joined them on the occasion of the 56th Annual General Meeting. They met this year once again through video conferencing in compliance with the regulatory framework, and he deeply appreciated their participation and continued support. With a sense of gratitude and responsibility, he acknowledged the trust and confidence that the shareholders had consistently reposed in the Board and the Management of the Company. The AGM served as an important platform to share the progress made by the Company, update the members on its performance during the year, and apprise them of the steps taken to ensure continued compliance with all statutory and regulatory requirements. Thus, he proceeded to give a brief overview of the Company’s performance. PERFORMANCE AND FINANCIAL POSITION In FY 2025-26, the Company experienced a period of business slowdown compared to the previous year, reflecting broader market trends with transitional phase for the Company.  Total Income stood at ₹1,27,04,729, as against ₹2,44,69,885 in the previous financial year, primarily due to a significant reduction in Other Income.  Income from Operations increased to ₹3,06,224 from ₹2,84,002 in FY 2024-25, reflecting a modest improvement in the Company's core operating activities. The higher loss was mainly attributable to the substantial decline in Other Income despite lower operating expenses.  Net Loss After Tax stood at ₹76,57,133 for FY 2025-26 compared to ₹22,05,583 in the previous year. Management continues to focus on operational efficiencies and strategic initiatives to set the stage for renewed growth and long-term value creation in the upcoming years. To conserve its funds for operational activities, your Directors’ do not recommend any Dividend for the FY 2025-26. The Statutory Auditors' Independent Report and Secretarial Audit Report for FY 2025-2026 have been obtained, and the said reports do not contain any significant observations, reservations, or qualifications that would materially impact the Company's financial position or compliance with applicable laws, other than the details as mentioned in the Directors Report for FY 2025- 2026. Further all the secretarial compliances are diligently managed by our Company Secretary cum Compliance Officer, Ms. Paridhi Somani, who has been working with us since 2016. He then apprised the members of certain proposals that formed part of the Notice of the 56th AGM: 1. The first item was the adoption of the Audited Financial Statements of the Company for the financial year ended March 31, 2026, together with the Reports of the Board of Directors and the Auditors thereon.
