Realty Limited (“Company”), has received a communication dated 11 September, 2026, from BSE Limited
regarding the levy of fines under Chapter VII(A) of the SEBI Master Circular No. HO/49/14/14(7)2025-CFD-
POD2/I/3762/2026 dated July 11, 2023 (as last updated on January 30, 2026) (“SEBI SOP Master Circular”)
on account of non-submission of the financial results for the quarter ended June 30, 2026 within the timeline
prescribed under Regulation 33 of the SEBI Listing Regulations.
The disclosure as required under Regulation 30 of the SEBI Listing Regulations is provided under “Annexure-
In relation to the details provided in the “Annexure-A”, I, the undersigned, state and declare that the information
and details provided in “Annexure-A”, in compliance with Regulation 30 of the SEBI Listing Regulations, is
true, correct and complete to the best of my knowledge and belief.
Further, the additional details as required under Regulation 30 read with Sub-Para 20 of Para A of Part A of
Schedule III of the SEBI Listing Regulations read along with the SEBI Master Circular No.

Fifty-Three Thousand Four Hundred Only), has
been levied as on September 11, 2026.

10. Action(s) taken by listed company The Company is taking necessary steps to
with respect to the communication expedite the completion of its financial closure,
reconciliation, verification and audit-related
processes for the quarter ended June 30, 2026.
The Company had duly initiated the process for
consideration and approval of its financial
results for the quarter ended June 30, 2026.
However, the Company continued to face
procedural and administrative constraints in
completion of the audit-related procedures,
arising from the exceptional circumstances
already communicated to the Stock Exchange in
relation to existing proceedings initiated by the
Enforcement Directorate (“Agency”).
Certain proceedings were initiated by the
Agency during April 2026, June 2026, including
search proceedings conducted at the corporate
office premises of the Company, followed by
subsequent requisitions seeking information,
records, explanations and supporting documents
from the Company. These were followed by an
attachment order in June 2026. The foregoing
developments necessitated an extensive
management review, verification, reconciliation
and compilation procedures in relation to the
secretarial, financial and transactional records
of the Company. During the course of such
proceedings, certain documents, records and
related materials of the Company were also
reviewed and/or seized by the officers of the
concerned Agency.
In view of the aforesaid developments and the
ongoing information requisitions, a substantial
management bandwidth and finance team
resources were required to be engaged in
compilation, verification, reconciliation and
review of the books and papers, records, and

transaction-level information in coordination
with legal advisors, consultants, auditors and
other stakeholders towards furnishing
information, explanations and supporting
details sought by the Agency from time to time.
These circumstances had initially affected the
Company's audit and financial closure process
for the financial year ended March 31, 2026, and
continued to have a consequential impact on the
limited review of the financial results of the
Company for the quarter ended June 30, 2026,
as required under Regulation 33(3)(d) of the
SEBI Listing Regulations.
Further, the Company had submitted an
application dated May 27, 2026, to the
Securities and Exchange Board of India under
Regulation 102 of the SEBI Listing Regulations
seeking extension of time for submission of its
Audited Standalone and Consolidated Financial
Results for the financial year ended March 31,
2026, which remains pending consideration as
on date.
In view of the foregoing, the Company is also
contemplating seeking waiver of the fines
levied by BSE Limited in accordance with the
applicable regulatory framework and to the
extent permissible thereunder.
