Ref: Letter of Offer by Mr. Neerav Bairagi ("Acquirer") for acquisition of shares of PANTHAORA LIMITED (Formerly known as JMG Corporation Limited) ('Target Company') Pursuant to Regulation 31A(10)(ii) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, (Listing Regulations), we hereby inform you that, Mr. Neerav Bairagi has completed the open offer on March 18, 2026. In accordance with the conditions set out in Regulation 31A(10) of Listing Regulations, we submit the following disclosures: 1. The intent of reclassification of the following person(s) from the "Promoter" category to "Public" category was disclosed in the Letter of Offer dated February 05, 2026 (Pg.no.11) Details of the person(s) being reclassified: Sr. no. In accordance with Regulation 31A(3)(b) of the Listing Regulations, the promoter proposed for reclassification confirms that: i. together, he does not hold more than ten percent of the total voting rights in the Company; ii. he does not exercise direct or indirect control over the affairs of the Company; iii. he does not have any special rights with respect in the Company through formal or informal arrangements including through any shareholder agreements; iv. he is not to be represented on the Board of Directors of the Company (including as nominee directors) and shall not act as Key Managerial Personnel of the Company for a period of three years from the date of reclassification; v. he will not act as a Key managerial Personnel; vi. he is not 'will defaulter' as per the Reserve Bank of India Guidelines; vii. he is not a fugitive economic offenders. 3. Further, we hereby confirm and undertake the following in terms of Regulation 31A(3)(c): i. The Company is compliant with the requirement for Minimum Public Shareholding as specified under Regulation 38 of the Listing Regulations. ii. The equity shares of the Company are not suspended from trading by the Stock Exchanges. iii. The Company does not have any outstanding dues payable to the Securities and Exchange Board of India (SEBI), the Stock Exchanges, or the Depositories.
