CS Ishan Jain : Scrutinizer for e-voting and Poll at the AGM and Remote e-Voting PROCEEDING OF THE MEETING: The 40th Annual General Meeting (the “AGM”) of the Company was held through hybrid mode i.e. in person or through VC/OAVM as per shareholders’ best convenience, in compliance with the applicable provisions of the Companies Act, 2013 read with numerous circulars issued by Ministry of Corporate Affairs (“MCA”), Secretarial Standard-2 on General Meetings (“SS2”) issued by The Institute of Company Secretaries of India and Master Circular issued by Securities and Exchange Board of India (“SEBI”), permitting the holding of AGM through VC/OAVM without physical presence of members at a common venue. CS Neha Singh, Company Secretary, introduced the Directors and other invitees present in the meeting. She further introduced and welcomed two distinguished additions to the Board who also attended the AGM: • Mr. Pramod Kishore Shrivastava, Chairperson and Additional Director of the Company • Mr. Manish Chandan, Chief Financial Officer of the Company Additionally, CA Pragati Barjatya, partner of M/s Mahendra Badjatya & Co., Statutory Auditors of the Company, Dr. CS D.K. Jain proprietor of M/s D.K.Jain & Co., Secretarial Auditors of the Company; and CS Ishan Jain, Practicing Company Secretaries, Scrutinizer for e-voting and Poll process attended the AGM. Mr. Pramod Kishore Shrivastava, Chairperson of the Company, chaired the proceedings of the AGM and welcomed all the Members, Directors and invitees present at the Meeting through VC/OAVM. CS Neha Singh, Company Secretary, informed the Members that the Company had a total of 2,646 (Two Thousand Six Hundred Forty-Six) shareholders as on the cut-off date, i.e., 2nd September 2026, and that 15 Members were required to constitute the quorum and the requisite quorum was duly constituted. Thereupon, the Chairman declared the Meeting to be duly constituted and called it to order. Thereafter, the Company Secretary informed the Members that the electronic copies of the Notice of the 40th AGM and the Annual Report for the financial year 2025-26 had been sent to all Members whose email addresses were registered with the Company, Registrar and Transfer Agent (“RTA”) or Depository Participant(s). The Notice and Annual Report were also made available on the Company’s website at www.admanumfinance.com, the website of BSE Limited at www.bseindia.com and the Notice of the 40th AGM was made available on the website of CDSL at www.evotingindia.com. The Company had also dispatched letters to those shareholders whose email addresses were not registered with the Company, RTA or Depository Participant(s). CA Mr. Pramod Kishore Shrivastava, Chairman of the Meeting, briefed the Members on the key operations undertaken by the Company and provided an overview of its financial position for the financial year 2025-26. With the consent of the Members, the Notice of the 40th Annual General Meeting, forming part of the Annual Report for the financial year 2025-26, was taken as read. The Auditors Report on the Financial Statements of the Company for the Financial Year 2025-26 is given by the Statutory Auditors M/s. Mahendra Badjatya & Co., Chartered Accountant, Indore and the Auditors Report does not contain any qualification or negative remarks and with the consent of the Members, the Report of the Company, was taken as read. The Secretarial Audit Report for the Financial Year 2025-26 is given by M/s D K Jain & Co., Practicing Company Secretaries, Indore. Same forms part of Annual Report and with the consent of the Members the Secretarial Audit Report of the Company is taken as read. CS Ishan Jain, Proprietor of M/s Ishan Jain & Co., Company Secretaries, Indore (M.P.) (F.R. No. S2021MP802300; Peer Review No. 6973/2025; M. No. FCS 9978 & C.P. No. 13032), was appointed by the Board as the Scrutinizer for the Remote E-voting process, E-voting at the AGM and voting through Poll, in a fair and transparent manner. The Company Secretary further informed the Members that the Company had availed the services of Central Depository Services (India) Limited (CDSL) for providing the facility of Remote E-voting and E-voting at the AGM. She informed that, in accordance with the applicable provisions of the Companies Act, 2013, the Remote E-voting commenced on Sunday, 6th September 2026 at 9:00 A.M. (IST) and ended on Tuesday, 8th September 2026 at 5:00 P.M. (IST). The E-voting facility and Poll at the AGM had already commenced and would remain available for 15 minutes from the conclusion of the AGM. The Company Secretary further informed that Members who had already cast their votes through Remote E-voting would not be entitled to vote again at the AGM through E-voting or Poll. The Members whose names appeared in the records of the Company as on the cut-off date, i.e., 2nd September 2026, were entitled to participate in the voting process. Thereafter, the Company Secretary placed before the Meeting, one by one, the businesses as contained in the Notice of the 40th AGM for consideration and approval of the Members.
