Mumbai, September 08, 2026: Systematic Industries Limited (“Systematic” or the “Company”) today announced a strategic step towards expanding its manufacturing footprint and strengthening its presence across India through the proposed acquisition of 100% equity shareholding of Wire Brigade Industries Private Limited (“Wire Brigade”), a Promoter Group Entity engaged in the Manufacturing of Galvanized Steel Wire and Strips. Strategically located at Howrah, West Bengal, Wire Brigade provides Systematic with an established manufacturing base to cater more effectively to customers in Eastern India, complementing the Company's existing pan-India manufacturing network. 1. Strategic Acquisition of Wire Brigade Industries Private Limited The Board of Directors of Systematic has approved the acquisition of 100% equity shareholding of Wire Brigade Industries Private Limited at a total consideration value of ₹ 21.50 Crore through a combination of share swap and cash consideration. As part of the proposed transaction: • 9,42,600 equity shares of Systematic will be issued at ₹228 per share, aggregating to approximately ₹21.49 crore, as consideration towards the share swap; and • The balance consideration of ₹ 86,000 for the acquisition of the remaining 04 sell shares of Wire Brigade will be paid in cash. Upon completion of the transaction, Wire Brigade will become a 100% wholly owned subsidiary of Systematic Industries Limited. Expanding Systematic’s Manufacturing Footprint The acquisition of Wire Brigade comes within two months of Systematic’s acquisition of the 48,000 MT per annum GI wire manufacturing facility at Siltara, Chhattisgarh further expanding the Company’s manufacturing footprint across key regions of India. With the addition of Wire Brigade, Systematic's manufacturing capacity is expected to increase further: Manufacturing Footprint Capacity Existing Systematic capacity 1,00,000 MT Siltara, Chhattisgarh 48,000 MT Existing Wire Brigade capacity 24,000 MT Total capacity post Wire Brigade acquisition 1,72,000 MT This represents a significant expansion of Systematic's manufacturing platform, while adding a strategically located manufacturing base in Eastern India. 3. ₹33.94 Crore Preferential Issue In connection with the proposed acquisition and to strengthen the Company's capital base, the Board has approved a preferential issue of 14,88,600 equity shares at ₹228 per share, aggregating to approximately ₹33.94 crore. The preferential issue comprises: • 9,42,600 equity shares, aggregating to approximately ₹21.49 crore, to be issued towards consideration for the acquisition of Wire Brigade through share swap; and • 5,46,000 equity shares, aggregating to approximately ₹12.45 crore, to be subscribed for in cash by identified investors. The participation of identified investors provides additional capital to the Company alongside the strategic integration of Wire Brigade. 4. Strategic Benefits • Eastern India Manufacturing Presence: Wire Brigade's Howrah, West Bengal facility provides Systematic with a manufacturing base in Eastern India, enabling the Company to cater more efficiently to customers in the region. • Expanded Manufacturing Platform: The acquisition takes Systematic's current manufacturing capacity to approximately 1.72 lakh MT per annum. • Pan-India Manufacturing Footprint: With manufacturing facilities across multiple regions, Systematic is building a broader manufacturing network capable of supporting customers across India. • Capacity-led Growth: The addition of operating capacity, together with the ongoing expansion at Wire Brigade, provides Systematic with additional headroom to cater to increasing customer requirements. • Integration of Promoter Group Business: The transaction brings Wire Brigade, an existing Promoter Group business, into the listed Systematic platform and consolidates the manufacturing operations under the listed entity. 5.
