Shah Commerce Education Limited (JSCEL), pursuant to the Composite Scheme of Arrangement sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Chennai Bench-I. J.K. Shah Commerce Education Limited will be led by Prof. J.K. Shah as Executive Director cum Chairman, providing strategic leadership as the company builds on its strong legacy and expands its presence in Commerce education. Share Entitlement As per the sanctioned Scheme: • Eligible shareholders of Veranda Learning as on the Record Date will receive 1 equity share of J.K. Shah Commerce Education Limited for every 1 equity share held in Veranda Learning. • The shares will be allotted without any additional payment by eligible shareholders, subject to the terms of the Scheme and applicable regulatory requirements. • J.K. Shah Commerce Education Limited will subsequently pursue listing of its equity shares on BSE Limited and National Stock Exchange of India Limited, subject to applicable approvals and processes.
