विषय/ Sub: Non-Compliance observed in IGR under SEBI (LODR) Regulations 2015.
This is with reference to our letter dated 10.06.2026 which was sent to your good office in response to
your email dated 27.05.2026 regarding intimation of fine due to non-compliance u/r 17 to 19 of
SEBI(LODR) 2015 as per the Integrated Governance Report Filing for the Quarter ended on 31.03.2026.
As per the directive of the exchange, as mentioned in the said letter, this matter was placed before
ITDC Board in its meeting held on 30.06.2026. Board was apprised of the non-compliance of not having
minimum number of directors and requisite number of Independent Directors including woman
Independent Director in ITDC Board. Board observed that the directors are appointed by the Govt. of
India through the Administrative Ministry. There is no fault of ITDC and therefore ITDC can seek waiver
of penalties.
It is also pertinent to mention that ITDC is following up with the concerned appointing Authority and
once the compliance is achieved, necessary request would be submitted to esteemed exchange for
waiver of the fine imposed.
