Equity Scrip: 532754 Symbol: GMRAIRPORT Debt Scrip: 976449, 976601, 977026, 977027, 978133 Sub: Disclosure under Regulation 30 & 51 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) – Receipt of Award by GMR Hospitality Limited, Indian subsidiary of the Company Dear Sir/Madam, This is to bring to notice that GMR Hospitality Limited (“GHL”), an Indian subsidiary of the Company has emerged as the Selected Bidder for designing, financing, developing, setting up, operating, managing and maintain the Food & Beverages Outlets at the Terminal 3 of the Indira Gandhi International Airport, New Delhi for an initial period of upto May 2036, which may further be extended by 10 additional years, by Delhi International Airport Limited (“DIAL”), Indian Subsidiary of the Company and accordingly has entered into License Agreement. The license fee is based on the revenue share payment model to DIAL which would be ascertained based on the revenue from Food & Beverages Outlets on year on year basis with a Minimum Monthly Guarantee payable by GHL to DIAL & Advertisement fees. The estimated aggregate amount of license fees for the FY 2026-27 and FY 2027-28 shall be ~ Rs. 49 crs and ~Rs. 109 crs. respectively. The promoter/promoter group/group companies of the Company do not hold any interest, other than their existing Direct/Indirect shareholding in DIAL & GHL. The above transaction is a related party transaction on arms’ length basis and necessary approvals were duly obtained in accordance with SEBI Listing Regulations and Companies Act, 2013.
